“The form 990 is prepared by an independent tax accountant; a draft of the form 990 and applicable schedules is then reviewed by the community foundation's chief financial officer, vp of finance and controller, and the pauley family foundation's executive director; adjustments are made, as necessary. A complete copy of the form 990 and all applicable schedules is then provided to each member of the pauley family foundation board of directors for review prior to filing with the internal revenue service.”
“Any director, officer, or employee having an interest in a contract, transaction, or arrangement presented to the board of directors or a committee thereof for consideration, authorization, approval, discussion, or ratification shall make a prompt, full, and frank disclosure of his or her interest to the board of directors at the first meeting of the board after the conflict occurs, and, in any case before the board or committee takes action on such contract, transaction, or arrangement. If a conflict of interest is deemed to exist, the person having the conflict of interest shall not participate or attend, vote on, or use his or her personal influence in connection with the discussions, deliberations, or vote with respect to such contract, transaction, arrangement, or related matters affecting the foundation.”

“The foundation follows financial accounting standards board (fasb) guidance related to accounting for uncertainty in income taxes, which clarifies the accounting for income taxes by prescribing the minimum recognition threshold that a tax position is required to meet before being recognized in the foundation's financial statements. The standard also provides guidance on derecognition, classification, interest and penalties, disclosure, and transition. In accordance with the standard, the foundation discloses the expected future tax consequences of uncertain tax positions presuming the taxing authorities' full knowledge of the facts of the foundation's position and records unrecognized tax benefits or liabilities for known, or anticipated tax issues based on the foundation's analysis of whether additional taxes would be due to the authority given its full knowledge of the tax position. The foundation has completed its assessment and determined that there were no tax positions which would require recognition under the standard. The foundation is not currently under audit by any tax jurisdiction.”
