“The draft federal form 990 is forwarded via e-mail to the executive committee for review and comments. Subsequently, the full board of directors is given access to the final federal form 990 before filing with the internal revenue service.”
“Each year the board of directors is required to sign the conflict of interest policy. In any case where a conflict exists, that particular board member will be excused from voting on the specific issue. Additionally, the board of directors will not vote or participate in any discussion surrounding the topic where there is a conflict of interest.”
“The board determines the president & ceo's compensation package. Nhia uses objective and comparability data to determine compensation. Compensation is based on the roles & responsibilities of the position in addition to the educational level and type and length of experience of the individual.”
