Conflict of Interest Policy Monitoring & Enforcement Form 990, Part VI, Line 12c THE Retiree Health Plan for Employees of the Air Line Pilots Association, International FOLLOWS THE CONFLICT OF INTEREST POLICY OF ITS RELATED ORGANIZATION, THE AIR LINE PILOTS ASSOCIATION INTERNATIONAL (ALPA): (1) ALPA'S CONFLICT OF INTEREST POLICY IS REVIEWED WITH EMPLOYEES, A WRITTEN COPY IS INCLUDED IN EACH EMPLOYEE NEW HIRE KIT, INCLUDED IN THE EMPLOYEE HANDBOOK AND THE POLICY IS POSTED ON THE EMPLOYEE STAFF CENTER WEBSITE. THE POLICY PROVIDES EXAMPLES OF SOME OF THE RELATIONSHIPS THAT SHOULD BE AVOIDED. THE POLICY REQUIRES THAT ALL EMPLOYEES AVOID CONFLICTS BETWEEN THEIR PERSONAL INTEREST AND THE MEMBERS OF, OR PERSONS REPRESENTED BY, ALPA OR THE INTEREST OF ALPA IN DEALING WITH EMPLOYERS OR WITH SUPPLIERS, CUSTOMERS, AND ALL OTHER ORGANIZATIONS OR INDIVIDUALS SEEKING TO DO BUSINESS WITH ALPA. Process for Determining Compensation

PART VI, SECTION B, QUESTIONS 15A & 15B The Plan Administrator's compensation is paid by a related organization, ALPA. Their process includes evaluation of individual education and professional experience, review and updating of the position, performance appraisal, assessment of internal equity, and external/market benchmarking. Salary is prescribed by job grade minimums/maximums. The Salary Review Committee is responsible for review and approval of compensation.

Method of Accounting

Form 990, Part XII, Line 1 The accounting records of the Plan are maintained on the modified cash basis, which is consistent with the basis used to prepare the Plan's Form 5500. Health care benefit costs and insurance premiums and reimbursements of such costs to the Association are recognized when paid rather than when obligations are incurred. Changes in the PSR are recorded as an increase (decrease) to insurance premiums.

Financial Statement Notes

Liability for Uncertain Tax Positions (FIN 48)

Schedule D, Part X, Line 2 The Plan and its related trust together constitute a Voluntary Employees' Beneficiary Association (VEBA). The VEBA received a favorable determination letter dated October 1, 1991, from the Internal Revenue Service, exempting it from federal income tax under Section 501(a) of the Internal Revenue Code (IRC). This letter was based on the Plan document dated January 1, 1988. Accordingly, no provision for income taxes has been recorded. The Plan is required to operate in conformity with the IRC in order to maintain the VEBA's tax-exempt status. The Plan administrator is not aware of any course of action or series of events that has occurred that might adversely affect the VEBA's tax-exempt status. The Plan has been amended since the most recent determination letter was issued. However, the Plan administrator believes that the Plan is currently designed and being operated in compliance with the applicable requirements of the IRC. Accounting principles generally accepted in the United States of America require Plan management to evaluate tax positions taken by the Plan and recognize a tax liability (or asset) if the Plan has taken an uncertain position that more likely than not would not be sustained upon examination by taxing authorities. The Plan administrator has analyzed the tax positions taken by the Plan, and has concluded that as of December 31, 2013 and 2012, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The Plan is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The Plan administrator believes it is no longer subject to income tax examinations for the years prior to 2010.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0Schedule D, Part X, Line 2 The Plan and its related trust together constitute a Voluntary Employees' Beneficiary Association (VEBA). The VEBA received a favorable determination letter dated October 1, 1991, from the Internal Revenue Service, exempting it from federal income tax under Section 501(a) of the Internal Revenue Code (IRC). This letter was based on the Plan document dated January 1, 1988. Accordingly, no provision for income taxes has been recorded. The Plan is required to operate in conformity with the IRC in order to maintain the VEBA's tax-exempt status. The Plan administrator is not aware of any course of action or series of events that has occurred that might adversely affect the VEBA's tax-exempt status. The Plan has been amended since the most recent determination letter was issued. However, the Plan administrator believes that the Plan is currently designed and being operated in compliance with the applicable requirements of the IRC. Accounting principles generally accepted in the United States of America require Plan management to evaluate tax positions taken by the Plan and recognize a tax liability (or asset) if the Plan has taken an uncertain position that more likely than not would not be sustained upon examination by taxing authorities. The Plan administrator has analyzed the tax positions taken by the Plan, and has concluded that as of December 31, 2013 and 2012, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The Plan is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The Plan administrator believes it is no longer subject to income tax examinations for the years prior to 2010.
