“Sir foundation utilizes the employees of the society of interventional radiology (sir), a related organization exempt under section code 501(c)(6), to be responsible for the day-to day operations. Per the cost sharing agreement, sir foundation will reimburse sir for the reasonable cost of using sir staff and other services supplied by sir.”

“Members of sir foundation's board of directors include the following: sir president, sir president-elect, sir treasurer, editor of the journal of vascular and interventional radiology, the sir executive director and sir foundation's executive director (ex-officio without vote). The remainder of the board of directors are appointed by sir foundation's board of directors. Appointments to voting positions are approved by sir's executive committee.”

“Sir foundation hires an independent accounting firm to prepare the federal form 990. Upon receipt of the draft form 990, it is reviewed by the executive director and senior director of finance. A copy of the draft form 990 is then sent to the board of directors via e-mail. A period of a few days is given to the board members to address any concerns that they may have before the federal form 990 is filed with the internal revenue service.”

“The sir board of directors and foundation board of directors are required to updated a conflict of interest form prior to board meetings as necessary. A conflict of interest form is distributed electronically to all of the officers, members, invited guests and key employees for updating and their signature to report all potential conflicts of interests. At any meeting or occasion, a summary of all reported conflicts of interest are included in the meeting materials. Officers, members or staff with perceived or real conflicts of interest may not be permitted to vote on an action or participate in discussion where they have a conflict of interest.”

“Governing documents, conflict of interest policy, and financial statements are made available upon request via email link on the foundation's website or by phone call to the corporate office.”
