Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee consists of the elective officers - president, president-elect, vice president, secretary and treasurer. The immediate past president is a part of the executive committee as long as the immediate past president is a voting institute member. The executive director and the chair of the technical activities committee ("tac") shall also act as non-voting ex-officio members of the executive committee. The board of directors may appoint other individuals to act as members of the executive committee in any capacity, so long as such an appointment is passed by affirmative vote of two thirds of all then-current directors at any officially constituted meeting of the board of directors.

International concrete repair institute has delegated day to day management of the organizations to ewald consulting, a professional business and trade association management company. The board of directors annually reviews the managment contract. Industry guides are utilized in the discussion.

The board of directors notifies all voting members of positions available on the board of directors with terms expiring during the ensuing year. The nominating committee selects the candidates and notifies the secretary of their recommended candidates.
