Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee is comprised of the chair of the board, the vice chair, secretary, treasurer, and president/chief executive officer who shall be elected or appointed in accordance with the provisions of these bylaws. It has authority over the day to day activities of the association, including all divisions, between meetings of directors, except on major policy matters that require full board of directors' consideration.

Form 990, Part VI, Section A, Line 6

Each member company has one vote and shall exercise its vote through the appointment of a full-time employee as its designated representative in the affairs of nptc. No less than 1/3 or 100, whichever is lesser, of the members in good standing of the organization, present in person or by proxy, at any duly called meeting of the members, shall constitute a quorum and the affirmative vote of the majority of those members shall suffice to take any action or transact any business there at.

Members elect the board of directors through a nomination and balloting process as described in detail within the bylaws of nptc (on the nptc website).

The form 990 is prepared by the organization's outside public accounting firm utilizing data provided by management. A draft of the filing is provided to nptc executive management and the executive commitee (composed of the board chair, vice-chair, treasurer and secretary) who perform a detailed review of the form 990 before submittal to irs.

Form 990, Part VI, Section B, Line 12C

All staff and board members review the council's conflict of interest policy no less than annually and adhere to its covenants. Specifically, if an individual has a conflict of interest or potential conflict of interest in connection with any council transaction or matter, he or she must immediately notify the president and ceo of the council, or the board chair, and disclose all the material facts concerning the actual or potential conflict of interest and his or her relationship to the transition or matter at issue. If the conflict of interest arises in connection with the activities of any deliberative body (e.g., board of directors), the individual with the conflict must immediately disclose the conflict to the other members of the body and the individual must not participate in the deliberation, consideration, or vote on the transaction or matter at issue. A notation must be made in the minutes of any meeting at which deliberation, consideration or a vote on the transaction or matter at issue is undertaken, indicating that the individual with the conflict or potential conflict of interest was excused from the meeting during the time that consideration of the transaction or matter was undertaken, took no part in any discussion pertaining to the transaction or matter and refrained from voting on the transaction or matter.

The executive committee (composed of the board chair, vice-chair, treasurer and secretary) makes compensation decisions for the ceo, utilizing available industry comparabilitiy compensation data. The executive committee approves compensation decisions at official meetings which are documented. The same process is utilized for other officers and key employees, as applicable. The process was last undertaken in 2018.

PART X, LINE 2:

Nptc is exempt from the payment of income tax under internal revenue code (irc) sections 501(c)(6). Nptc follows guidance regarding the recognition of uncertain income tax positions. Nptc believes it has appropriate support for unrelated trade or business positions and, as a result, does not have uncertain income tax positions that have a material impact on the financial statements. The application of this guidance had no impact on nptc's financial statements. Nptc's income tax returns are subject to review and examination by the federal and state authorities.
