Governance Explanations

Form 990, Part VI, Section B, Line 11B

Form 990 is prepared each year by the Organization's Chief Financial Officer, who is a Certified Public Accountant. Once it has been completed, the 990 is reviewed by senior management, and is then distributed electronically to the members of the Board of Directors for their review prior to filing the return.

Form 990, Part VI, Section B, Line 12C

Each year, the members of the Board of Directors as well as members of the Organization's Executive Team review the Organization's Code of Ethics and Conflict of Interest Policy. enCircle also utilizes a confidential independent third-party reporting system that allows for anonymous reporting of any suspected or perceived conflicts of interest. If a report of such conflict is received by the third party, enCircle's Chief Quality Officer and/or her designee investigates and provides follow-up. If the suspected or perceived conflict involves a member of the Executive Team, including the CEO, the report is sent directly by the third-party to the chair of enCircle's Board of Directors.

Form 990, Part VI, Section B, Line 15

Compensation of enCircle's CEO is determined annually by the Board of Directors, which uses information from various independent sources (such as comparable information from other similar organizations and market analyses) and which also takes into consideration the specific performance of the CEO. The CEO in turn determines the compensation of the Executive Team based on specific performance and market analyses.

enCircle maintains two endowment funds. The Minnick School Endowment Fund has a permanently-restricted corpus balance of $162,108 as of June 30, 2022. The earnings from this fund may be used at the discretion of management to further the educational experiences of students at our Minnick Schools. The Eleanor Smelzer Endowment Fund has a permanently-restricted corpus balance of $1,438,983 as of June 30, 2022. The earnings from this fund are not restricted and can be used for organization needs at the discretion of management. The total permanently-restricted corpus of the two funds at June 30, 2022 of $1,601,091 is included on Form 990, Part X, Line 29 as permanently-restricted net assets. The market value of the two funds as of June 30, 2022 of $2,144,297 is shown on Form 990, Part X, Line 12.

IRS990/Desc0Developmental Services: enCircle's community-based services for people with developmental disabilities focus on quality care, with the goal of supporting meaningful life experiences in the setting of their choice. Our staff act as a mentor and friend to help people attain their goals, while ensuring their health, safety, and medical needs are met. Our 14 group homes (in Virginia and West Virginia) provide round-the-clock support for women and men in comfortable, community-based houses. We also support adults living in their own homes through individualized in-home services. Skilled nursing and therapeutic consultation services are available to support clients in any setting to ensure their medical and behavioral needs are met. We also contract with and support more than 200 Family Care Providers-people who support adults with developmental disabilities living in their homes. To ensure people are integrated into their communities as fully as possible, we offer day support and community coaching programs as well. Our Developmental Services are licensed through the Virginia Department of Behavioral Health and Developmental Services (DBHDS) and the West Virginia Office of Health Facility Licensure and Certifications and are accredited through the Commission on Accreditation of Rehabilitation Facilities (CARF). During the fiscal year ending June 30, 2022, we helped more than 350 adults with developmental disabilities live more abundant lives.
