Governance Explanations

Form 990, Part VI, Section B, Line 11B

Calea employs an administrative services manager to collect and maintain all information required for the submission of the federal form 990. Calea also employs a cpa firm to prepare the form 990. The federal form 990 is then reviewed by the administrative services manager, followed by the executive director. Once approved, the 990 is then filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy requires that commissioners and effected employees submit prior to employment or appointment an annual conflict of interest report each january. These forms are submitted to the executive director and reviewed by the corporate affairs committee. The executive director and the corporate affairs committee will attempt to resolve any actual or potential conflict(s). Any conflicting issues that cannot be resolved by the corporate affairs committee are referred to the executive board for final resolution.

Form 990, Part VI, Section B, Line 15A

Calea participates in research conducted by qualified market analysts regarding the value of statistically and qualitatively similar support, professional, managerial and executive level positions for the greater washington area. This research was last provided by keating advisors during calendar year 2021. This research provides a resource to map salary progression to ensure it complements cost of living adjustments reported for the washington metropolitan area. The executive director's salary is established by the executive board of directors with approval from the full calea board of directors. Additionally, a contract is used for the purpose of employing the services of the executive director. The contract provisions, including salary and benefits, are reviewed by the executive board of directors with a recommendation to the full calea board of directors. The full 21 member of calea's board of directors approves the executive director's salary.

Form 990, Part VI, Section C, Line 19

Calea utilizes print and electronic mediums to provide organizational information to the public. An annual report is produced that summarizes key organization issues, including findings from the most recent audit. Within the annual report the reader will find the statement of financial position, statement of functional expenses, and statement of activities. This document is provided in print version to commissioners, former commissioners, staff, and the four founding organizations. It is also posted on calea's website and can be located at https://www.calea.org/calea-annual-reports. Currently, bylaws and policies are not posted for public access. However, they are available in electronic versions to all commissioners and staff via an intranet application. The public can access these documents by request.
