“The National Court Reporters Association (NCRA) Board of Directors has responsibility and authority for electing NCRF's Trustees. NCRF's Trustees are elected annually by the NCRA Board of Directors at its spring Board meeting from among candidates proposed by NCRF. Additionally, the NCRA Board of Directors may remove a Trustee by the same vote that was required for the Trustee's original election, and they may fill any Trustee vacancy for the unexpired term.”

“The Board of Trustees consists of eleven voting members and one nonvoting member. At least six of the voting members (including the current NCRA Secretary/Treasurer) shall be individuals who are members of NCRA in any category (not just registered members). One of these Trustees shall be the current NCRA Secretary/Treasurer. The remainder of the voting Trustees shall be elected by a two-thirds vote and shall serve staggered three-year terms (which elections shall be held at the spring meeting of the NCRA Board of Directors). No more than five of the voting members shall be elected from the general public. These Trustees shall be elected by a two-thirds vote and shall serve staggered three-year terms (which elections shall be held at the spring meeting of the NCRA Board of Directors). These Trustees may not be practicing court reporters and shall be chosen from among other professions that the NCRA Board of Directors deems appropriate. The bylaws may be amended by the Board of Trustees at any meeting as long as there is notice of the proposed changes in the written notice of the meeting. No such amendments shall be effective until they are also approved by the NCRA Board of Directors. Any Trustee may be removed from office by the NCRA Board of Directors by the same vote that was required for that Trustee's original election. Any vacancy due to removal, resignation, or death occuring in the Board of Trustees may be filled for the unexpired term by the NCRA Board of Directors in accordance with the qualification and election requirements for the vacant seat. NCRF shall propose nominees for the NCRA Board's consideration.”

“NCRF's Board of Trustees has no committee with authority to act on its behalf.”

“The form 990 is prepared by outside accountants and reviewed by the Chief Financial Officer, Executive Director, and outside General Counsel. Once this review is complete, the form 990 is sent to each member of the Board of Trustees for review before filing.”

“Annually, Directors, Officers and Key Employees prepare and sign conflict of interest statements. If a conflict of interest relates to a Board matter, the Board member recuses themselves from the discussion and/or the vote and the minutes document the conflict of interest and the reason for the recusal.”

“NCRF's governing documents, conflict of interest policy, and financial statements are made available on a per request basis.”

“The NCRA Finance Committee is responsible for oversight and selection of the consolidated audit. The NCRF Board of Trustee's reviews the audit and has input on the oversight and the selection via its Chair Elect, whose position is a named member of the NCRA Finance Committee.”
