There shall be an annual business meeting of the members during the association's annual conference or upon such date, time, and place as the board shall determine. Written notice of the annual buiness meeting shall be given at least 60 days prior to the meeting. During the annual business meeting, voting members shall have the right to vote on resolutions and those extraordinary actions requiring member approval. Voting on all other matters is expressly reserved for the board of directors.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is designed to help directors, officers, and employees of the virginia association of secondary school principals (vassp) identify situations that present potential conflicts of interest and to provide vassp with a procedure that, if observed, will allow a transaction to be treated as valid and binding even though a director, officer, or employee has or may have conflict of interest with respect to the transaction. In the event there is an inconsistency between the requirements and procedures prescribed herein and those in federal or state law, the law shall control. Each responsible person shall annually complete a disclosure form identifying any relationships, positions, or circumstances in which the responsible person is involved that he or she believes could contribute to a conflict of interest arising. Such relationships, positions or circumstances might include service as a director of or consultant to a notforprofit organization, or ownership of a business that might provide goods or services to vassp. Any such information regarding business interests of a responsible person or a family member shall be treated as confidential and shall generally be made available only to the president, the chief executive officer, and any committee appointed to address conflicts of interest, except to the extent additional disclosure is necessary in connection with the implementation of this policy. A person who has a conflict of interest shall not participate in or be permitted to hear the board's or committee's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. A person who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum for purposes of the vote. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken, unless the vote is by secret ballot. Such person's ineligibility to vote shall be reflected in the minutes of the meeting.

The board of directors (typically through its executive committee) conduct an annual written and oral evaluation of the chief executive officer. Such evaluation will be based on the extent to which the chief executive director has addressed the board's stated goals and objectives and the mission and vision of the organization. The executive committee conducts a compensation comparability analysis for the ceo position prior to executing an initial or renewal contract. This analysis includes ceo salary comparsions of similar 501(c)(6) organizations and the annual state princpals association survey conducted in the 50 national association of secondary school princpals (nassp) affiliated state association network.

OTHER PROGRAM SERVICES 4: DEPARTMENT OF STUDENT LEADERSHIP (DSL): PROVIDES LEADERSHIP, ADMINISTRATIVE AND OPERATIONAL SERVICES TO THE NATION'S OLDEST STATE STUDENT LEADERSHIP ORGANIZATION-THE VIRGINIA STUDENT COUNCILS ASSOCIATION (VSCA). IN ADDITION TO MANAGING THE AFFAIRS OF THE VSCA, DSL IS RESPONSIBLE FOR DEVELOPING A STRONG AND VIABLE VIRGINIA ASSOCIATION OF HONOR SOCIETIES (VAHS) AND VIRGINIA ASSOCIATION OF STUDENT ACTIVITY ADVISERS (VASAA). DSL IS RESPONSIBLE FOR CONTINUOUS RECRUITMENT OF SCHOOL MEMBERSHIPS IN VSCA AND VAHS AND PROVIDES ON-SITE MANAGEMENT OF ALL LOGISTICAL ARRANGEMENTS AND RELATED MEETING SERVICES FOR VSCA, VAHS AND VASAA. DSL IS RESPONSIBLE FOR THE DEVELOPMENT AND MANAGEMENT OF THE VSCA ANNUAL STATE CONVENTION. DSL CONSULTS WITH THE LEADERSHIP OF VASSP AND OTHER APPROPRIATE OFFICES, SETS AND INTERPRETS ASSOCIATION POLICIES AND PROCEDURES FOR ORGANIZATIONAL OPERATIONS, MEETINGS AND EVENTS, RECRUITS, TRAINS AND MAINTAINS A STRONG AND VIABLE VSCA ADVISORY COMMITTEE. OTHER PROGRAM SERVICES 5: VASSP worked collaboratively with the Virginia Department of Education (VDOE), the Virginia Association of Elementary School Principals (VDOE), and Virginia Foundation for Educational Leadership (VFEL), to develop and pilot a new mentoring program for PreK-12 school administrators. Titled the Virginia Principals Mentoring Pilot (VPMP), this program will serve two purposes. First, the VPMP will provide principals with knowledge, skills, and support from their initial appointment through their beginning three-year period. Second, the VPMP will establish a platform to train mentors to work with newer principals within that beginning three-year period. Most importantly, VPMP Principals are participating in high quality, targeted professional development that assists in the transition to school leadership, examines the realities of principal-ship, and provides individualized support. The mentoring program will establish a safe space for beginner principals to grow in their role; problem solve and engage in an impactful way with peers. Discussions regarding the pilot proposal began in August 2023, with representatives from VDOE, VASSP, VAESP, and VFEL. IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0OTHER PROGRAM SERVICES 4: DEPARTMENT OF STUDENT LEADERSHIP (DSL): PROVIDES LEADERSHIP, ADMINISTRATIVE AND OPERATIONAL SERVICES TO THE NATION'S OLDEST STATE STUDENT LEADERSHIP ORGANIZATION-THE VIRGINIA STUDENT COUNCILS ASSOCIATION (VSCA). IN ADDITION TO MANAGING THE AFFAIRS OF THE VSCA, DSL IS RESPONSIBLE FOR DEVELOPING A STRONG AND VIABLE VIRGINIA ASSOCIATION OF HONOR SOCIETIES (VAHS) AND VIRGINIA ASSOCIATION OF STUDENT ACTIVITY ADVISERS (VASAA). DSL IS RESPONSIBLE FOR CONTINUOUS RECRUITMENT OF SCHOOL MEMBERSHIPS IN VSCA AND VAHS AND PROVIDES ON-SITE MANAGEMENT OF ALL LOGISTICAL ARRANGEMENTS AND RELATED MEETING SERVICES FOR VSCA, VAHS AND VASAA. DSL IS RESPONSIBLE FOR THE DEVELOPMENT AND MANAGEMENT OF THE VSCA ANNUAL STATE CONVENTION. DSL CONSULTS WITH THE LEADERSHIP OF VASSP AND OTHER APPROPRIATE OFFICES, SETS AND INTERPRETS ASSOCIATION POLICIES AND PROCEDURES FOR ORGANIZATIONAL OPERATIONS, MEETINGS AND EVENTS, RECRUITS, TRAINS AND MAINTAINS A STRONG AND VIABLE VSCA ADVISORY COMMITTEE. OTHER PROGRAM SERVICES 5: VASSP worked collaboratively with the Virginia Department of Education (VDOE), the Virginia Association of Elementary School Principals (VDOE), and Virginia Foundation for Educational Leadership (VFEL), to develop and pilot a new mentoring program for PreK-12 school administrators. Titled the Virginia Principals Mentoring Pilot (VPMP), this program will serve two purposes. First, the VPMP will provide principals with knowledge, skills, and support from their initial appointment through their beginning three-year period. Second, the VPMP will establish a platform to train mentors to work with newer principals within that beginning three-year period. Most importantly, VPMP Principals are participating in high quality, targeted professional development that assists in the transition to school leadership, examines the realities of principal-ship, and provides individualized support. The mentoring program will establish a safe space for beginner principals to grow in their role; problem solve and engage in an impactful way with peers. Discussions regarding the pilot proposal began in August 2023, with representatives from VDOE, VASSP, VAESP, and VFEL. Administering the pilot began in the spring of 2024 and is scheduled to end February 2025. OTHER PROGRAM SERVICES 6:

IN THE EVENT THERE IS AN INCONSISTENCY BETWEEN THE REQUIREMENTS AND PROCEDURES PRESCRIBED HEREIN AND THOSE IN FEDERAL OR STATE LAW, THE LAW SHALL CONTROL.
