“An executive board was established by the adoption of new bylaws in 2019. Per the bylaws: "the executive board shall consist of no more than fifteen members, at least half of whom shall be congregational representatives or former congregational representatives who are members of the board of directors and no more than half of whom shall be community members (as selected in accordance with article vi, section 3). The executive board will consist of the president, the vice president, the secretary, the treasurer, the chairpersons of the governing committees, congregational representatives or former congregational representatives, and the community members of the board of directors. The president shall serve as chair of the executive board. The executive director shall serve as an ex-officio, non-voting member. All of the powers and authority of the corporation shall be vested in the executive board except as expressly reserved to the board of directors in article vi, section 1, or by law." the powers and duties of the executive board include: "a. Recommend major policy and bylaw changes; b. Select, oversee and set the compensation of the executive director; c. Translate organizational vision and mission to high-level organizational goals; d. Approve the operating budget and fundraising goals; e. Oversee the assets of the corporation; f. Monitor the overall management of the corporation; and g. Serve as a thought partner/sounding board to the executive director." during fiscal year 2021, there were eleven members of the executive board, all of whom were members of the board of directors.”
