Governance Explanations

Form 990, Part VI, Section B, Line 11B

The audit committee, head of school, and business officer review a draft copy of form 990 prior to filing. Any questions or changes are resolved prior to filing. Each voting member of the board of trustees receives a copy of the final version of form 990 prior to the filing with the irs.

Form 990, Part VI, Section B, Line 12C

The school requires each officer and board trustee to annually sign a statement affirming that such person has received a copy of the conflict of interest policy, has read and understands the policy, has agreed to comply with the policy, and understands that the school is a charitable organization and that in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. The business officer and headmaster monitor and enforce this policy by holding all business and governance transactions up for scrutiny against the conflict of interest policy.

Form 990, Part VI, Section B, Line 15

The school's executive committee is assigned the responsibility of determining and approving the head of school's contractual compensation amount. The school determines a competitive salary by analyzing comparable market data provided by the national association of independent schools, examining compensation amounts reported on forms 990 of similar schools, and by utilizing other online executive compensation surveys. The approved compensation amounts are documented in a contractual agreement, which generally spans multiple years. The executive committee reevaluates the head of school's compensation amounts for every new contractual arrangement with the head of school. Form 990, part vi, section b, line 15b: the compensation of the school's business officer is initially determined by analyzing comparable market data provided by the national association of independent schools, the national business officers association, and by utilizing other online executive compensation surveys. The head of school is ultimately responsible for approving the business officer's contractual compensation. The business officer's contractual compensation is set for a one year peirod. After the initial salary determination, the performance review of the business officer is conducted annually by the head of school. Future salary increases for the business officer are evaluated on an annual basis and are based on the budgeting needs of the school. Any salary increase for the business officer is generally the same percentage increase applied across all employees and is subject to the approval of the school's finance committee and board of trustees.
