“The board of governors will establish standing committees deemed appropriate to improve the effectiveness and efficiency of the association and by resolution adopted by a majority of the entire board, shall appoint as standing committees from among the governors an executive committee, a governance & nominating committee and an audit & investment committee. In addition, in its sole discretion, the board may appoint from among the members and governors one or more other committees, each of which shall have two (2) or more committee members including at least one governor. The number of governors to be appointed to the executive committee shall not exceed seven and shall include the chairman, the vice chairman, the president, and the chair of each of the other standing committees. The executive committee shall have and exercise the full authority of the board of governors in the management of the association. All other committees, to the extent provided in their respective enabling resolutions and not restricted by law, shall have and exercise such authority as the board of governors shall prescribe in the management of the association. The designation of any committee, whether under these bylaws or by resolution adopted by the board, and the delegation thereto of authority shall not operate to relieve the board of governors, or any individual governor, of any responsibility imposed on it, him, or her by law.”

“As the professional association of marines, the organization has a large number of members who join to promote the association's mission, receive the magazines published by the association, attend events and receive other benefits associated with being a member.”

“The association's chief executive officer (ceo), chief financial officer (cfo) and executive committee will review the draft form 990 before it is filed. They will review the 990 and return any comments to the cfo. An electronic copy of the 990 is provided to all board members prior to filing.”

“All board members are required to complete a conflict of interest disclosure statement on an annual basis. The statement requires disclosure of all professional, business and/or volunteer positions that may give rise to conflicts with their position on the board. It also requires disclosure of all instances in which a board member may be a vendor, employed or consulting with a vendor to the association. Any possible conflicts that are disclosed are reviewed by counsel. In addition, the association has a conflict of interest policy in its handbook which is distributed to all employees. Employees acknowledge they have read and agree to adhere to the policies on a form. The conflict of interest policy is explained in the handbook with specific instructions on how to report an actual or potential conflict. Supervisors are notified and the chie officer evaluates these reports and instructs the employee as to the proper course of action.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
