“THE EXCHANGE HAS MEMBERS”

“Election of board members and their rights the members of the governing board are elected at least nine (9) weeks prior to the date of the annual meeting, the president shall appoint a committee to be known as the nominating committee. This committee shall consist of five (5) past presidents of the exchange. The chair shall be the immediate past president of the exchange. The duties of the committee shall be to select individuals to fill the positions of the existing officers and directors for the upcoming year. The nominating committee shall provide a list of the new director(s) to the existing baord of directors for their approval. A majority of affirmative votes of the board of directors shall be required for their approval of the nominees.”

“The organization distributes a copy of the form 990 to its board, either, prior to filing or at the next board meeting following the filing.”

“The executive committee, consisting of the officer of the organization, reviews the performance of the executive director and makes recommendations to the board relative to compensation annually.”

“There are no other officers or key employees of the exchange, however, as part of the budget process, the finance committee reviews the executive director's recommendation for salary and wages of exchange employees. The full board of directors approves the operating budget at their october meeting.”
