“The association is a voluntary bar association for members of the legal profession. Membership in the association is available to persons licensed to practice law, divided into the following classes: active members, associate members (resident, continuing, non-resident, or disabled), judicial members, honorary members, emeritus members, or law student members. Only active, resident associate, continuing associate, disabled associate, and emeritus members have a vote in any affairs of the association, including the endorsement of judicial candidates.”

“Members of the board of directors are elected by the members of the organization at each annual meeting of the association.”

“The form 990 is provided to the board president and secretary/treasurer prior to filing.”

“If any officer, director, committee member or employee of the association has any direct or indirect interest in, or relationship with, any individual or organization that proposes to enter into any transaction or activity with the association for profit or gain, such person immediately shall give the association notice of such interest or relationship. Such person thereafter shall refrain from discussing or voting on the particular transaction in which he or she has an interest, or otherwise attempting to exert any influence on the association to affect a decision.”

“The compensation for the executive director is discussed by personnel committee and approved by the board of directors.”

“Publications. The organization published nine editions of its newsletter and maintained a web site with information of interest to the members. Social programs. Two luncheon meetings were held (198 registrants), along with spring and holiday cocktail parties which attracted a combined total of 385 registrants. Additional social programs included a member appreciation event and a variety of section socials. Miscellaneous. The organization had nine sections that provided additional educational and social opportunities for lawyers with specialized or common interests.”
