Nature Forward inspires residents of the DC area to appreciate, understand, and protect their natural environment through outdoor experiences, education and advocacy, and creates a larger and more diverse community of people who treasure the natural world and work to preserve it.

Governance Explanations

Members or stockholder classes and rights Part VI line 6

The Organization members support its vision of creating a larger, more diverse community of people who treasure the natural world and work to preserve it. Member support enables the Organization to deliver high quality environmental education for all ages and lead community outreach and advocacy work to protect and restore clean streams, healthy habitats, and special natural places in the DC metro region. In compliance with the Organizations bylaws, all members are entitled to vote at the annual meeting of the members.

Member election for additional members Part VI line 7A

Board members are nominated by the governance/nominating committee and elected by members at the Organizations annual meeting. Board members are elected for staggered three year terms, with a two-term limit.

Members of the Organization elect new board members each year at the annual meeting. The bylaws can be amended only by member vote.

Form 990 governing body review Part VI line 11

The Form 990 is prepared by an independent accounting firm and then reviewed in detail by the the Organizations Treasurer and a working group of the Finance Committee and senior management, and presented to the Board of Directors before filing.

Conflict of interest policy compliance Part VI line 12C

Upon joining Nature Forwards Board of Directors and/or its committees, and annually thereafter, members sign and date a conflict of interest disclosure statement. This statement is given to the board president by board members and committee members. Disclosure of actual, potential and perceived conflicts of interest is a normal, routine practice at board, committee and staff meetings. If a board member or committee member makes a conflict of interest disclosure, it is documented in the meeting minutes. Select salaried staff also sign and date a disclosure statement in accordance with Maryland state law.

The process for determining the executive directors compensation was negotiated at the time of hire and documented through the executive directors employment agreement that required an annual performance review by the Board of Directors.

The compensation of other key employees is approved annually through the budgeting process. Every few years, comparability data and market trends in the non-profit community are used to ensure that salaries of other key employees are in line with regional sector norms. This data, along with tenure and performance, are used to review and adjust compensation on an annual basis.

The Organization follows the Financial Accounting Standards Board Accounting Standards Codification, which provides guidance on accounting for uncertainty in income taxes recognized in The Organizations financial statements, if any. As of the current year end, The Organization had no unrecognized tax benefits related to uncertain tax positions in its information return that would qualify for either recognition or disclosure in its financial statements. The Organizations policy would be to recognize interest and penalties on tax positions related to its unrecognized tax benefits in income tax expense in the financial statements. Through the fiscal year end, there have been no matters that would have resulted in an accrual for interest and/or penalties.Generally, only the three preceding tax years are subject to examination by federal, state, or local taxing authorities.

IRS990/Desc0Environmental Education Nature Forwards educational mission is to nurture a lifetime of outdoor discovery, exploration and stewardship of nature for people in the Washington, DC metro region. The Organization connects with individuals and groups of all ages to create a community of people who actively care for the natural world. Through our children and youth programs we reach more than 14,000 children each year with classroom visits, school field trips, afterschool programs, a licensed preschool, and summer camps. Our GreenKids program partners with public schools in Montgomery and Prince Georges counties in Maryland, Loudon County in Virginia and the District of Columbia to foster a culture of environmental stewardship in schools and provide professional development to teachers. Our continuing education programs educate and train more than 2,000 adults annually in natural history and conservation topics. Our outreach programs work to reach families in their communitiesnear where people live, work, and go to schooland connect them to nearby nature through engaging, hands-on activities and trainings. We work with community leaders, partner organizations, and empowered community members.

The Organization provides free public access to our sanctuaries and invites people to enjoy our trails, including a new wheelchair accessible trail at Woodend. The sanctuaries protect critical wildlife habitats in the DC metro region and provide opportunities for people to discover and appreciate the natural world through self-guided and naturalist-led experiences. The sanctuaries educate people of all ages and abilities about environmental stewardship, serve as gathering places for environmental classes and provide a hub for organizations working to preserve the quality of the environment in the Washington, DC area. The Organization actively works to restore the habitats at its nature sanctuaries.

Annually, more than 330 people volunteer for the Organization by serving on the Board of Directors and its committees, monitoring the water quality of local streams, maintaining and restoring Nature Forward sanctuaries, leading nature education programs, representing Nature Forward at community events, supporting office functions, and testifying at public hearings.
