“The Association has an agreement with a management company, LSI Business Development, Inc. (LSI), to provide various services including professional management, office administration, outreach and communications, and operations. Under the terms of the contract, the Association pays for management and administrative services in the amount of $12,500 per month. Either party may terminate the agreement by notifying the other in writing 30 days prior to termination. Fees paid under this agreement for the fiscal year ended October 31, 2020 were $89,702.”

“Directors Stephen and Richard Phillipp are father and son.”

“The bylaws were amended as of 10/31/20 by board vote. The fiscal year end October 31st has been changed to December 31st.”

“DOCA consists of voting and non-voting members. Only members in good standing are eligible to vote, hold office and otherwise participate in the affairs of the association.”

“Members elect the board of directors at the annual meeting.”

“Members vote on various decisions and recommendations made by the board.”

“The audited financial statements are reviewed for approval by the Treasurer. Once this process is complete, the information from those financial statements is used to complete the Form 990 by the independent external auditors, and subsequently reviewed by the executive board and management before submission.”

“In the event of a potential conflict of interest at the board level, the policy requires the interested board member to call to the attention of the board, or any relevant committee, and such person is not to vote on the matter. If appropriate, such director is required to also excuse him/herself from the discussion of the matter. At the staff level, the policy requires that staff members discuss any situations which give rise to a potential conflict of interest with the EVP, who is responsible to discuss any potential conflict of interest with the Board. The incoming board and officers are issued a conflict of interest policy form.”

“DOCA's elected officers annually review and adjust, if appropriate, the compensation for the management official. DOCA has a policy to establish compensation for all employees based upon review of the cost of living increase percentage, DOD salary increase percentage, compensation data published by ASAE and then factoring all that data into consideration what the budget can afford.”

“DOCA is a 501 (c)(3) nonprofit, educational association for members only. The Association is directed toward the interest of national defense without special advocacy of any particular military service or concept. While it is completely independent and is not sponsored by the Department of Defense, DOCA objectives are to provide a means of continuing education of its members in matters pertaining to national security under the jurisdiction and supervision of the Department of Defense; to enable members to pass on such information to others and to provide a permanent medium for cooperation between its members and the Departments of Defense and State.”

“DOCA's Treasurer assumes responsibility for oversight of the audit of its financial statements and selection of the independent auditor. The process is consistent with previous years.”
