Since 1941, the water environment federation (wef) and its members have protected public health and the environment. As a global water sector leader, wef's mission is to: - connect water professionals - enrich the expertise of water professionals - increase the awareness of the impact and value of water - provide a platform for water sector innovationwef supports public health through enhancement of the global water environment; develops and promotes practices and policies which assist our members' public service, providing efficient and environmentally protective water services; delivers high-quality products and services to members and stakeholders; promotes scientifically sound environmental practices and regulation; educates members, the public and policy-makers; promotes and advances the water quality profession.

Governance Explanations

Form 990, Part VI, Section A, Line 4

Wef made significant changes to the existing constitution & bylaws, now just bylaws, in 2020 in order to help the organization become more nimble. The major changes included moving the majority of text in the bylaws that was prescriptive (such as specific dates) to policy and adjusting the approval process for future bylaws changes or updates. Language was also revised in the appropriate places to eliminate existing inconsistencies between the articles of incorporation and the bylaws. The final recommended changes were voted on and approved by wef's membership on june 8, 2020 at which time the updated bylaws went into effect.

Wef officers and board of trustee nominees shall be recommended by the wef nominating subcommittee, approved by the board, and confirmed by the house of delegates as so described in this constitution and bylaws.

Any proposed changes to the wef articles of incorporation or constitution and bylaws must be recommended by the board of trustees and must also be ratified by a quorum of voting members.

The form 990 is drafted by wef's outside audit firm with information and input from wef's executive director and chief financial officer. The draft 990 is reviewed by wef's treasurer (audit committee chair), executive director and chief financial officer for accuracy. Once this team has approved the draft 990, it is filed with the irs. The form 990 is then posted to the board of trustees' website for its review and reference.

Form 990, Part VI, Section B, Line 12C

Each new board trustee is oriented on the wef conflict of interest policy. Every trustee signs a statement annually acknowledging the policy. At the beginning of every board meeting, the board members are reminded of their responsibility to acknowledge conflicts of interest when the agenda is being reviewed. Each member of the board of trustees is required to disclose "other interests," as defined in the policy, annually and more frequently if other interests arise. The board or delegated representatives of the board must decide what, if any, corrective measures to take in response to disclosures of other interests.

Wef participates in several salary surveys in the washington, dc area. Surveys and data are received and reviewed to inform a salary structure and to make compensation recommendations. The executive director's compensation is reviewed by the board of trustees. Data for wef key employees are reviewed by the executive director, human resources director and leadership staff.

Wef's financial information is available on the 990 and posted on the internet through information sources such as guidestar. Wef's policy also makes copies of wef's documents available to direct requests made to wef at its office. Wef's constitution and bylaws are printed annually as part of a board resource guide and are posted on wef's website. Wef views these as public documents and will provide them to any interested party who seeks them. There have been very few, if any, requests.
