Governance Explanations

Form 990, Part VI, Section A, Line 4

Wef modified sections of its constitution and bylaws as follows: > wef updated its mission, vision, and strategic direction; > modified the allowable board size to fluctuate between 11 and 14 voting members; > clarified the duties of the board; > changed the completion date for the wef board selection of trustee nominees from june 1 to july 15 and the board is to approve nominations before they are submitted to the house for confirmation; > modified procedures for filling vacancies in board positions. The wef nominating subcommittee recommends nominees to be confirmed by the board; > clarified the term of treasurer to be three years unless the nominee has previously served a year on the board in the previous three years, then the term would be reduced to two years; > clarified board committees and their charges; > moved authority and responsibility for nominating and selecting house delegates-at-large positions from the wef board nominating committee to the house nominating committee; > clarified and updated the duties of the house; > clarified the role, structure and members of the clc committee; > modified procedures by which the constitution and bylaws of member associations be reviewed and certified by the board constitution and bylaws subcommittee instead of the board; > clarified that individuals may join more than one member association; > changed the notification time requirement for board meetings from 20 days to seven days; and > removed the maximum indemnification dollar amount provided for wef staff and volunteers.

Form 990, Part VI, Section A, Line 6

Wef has individual and corporate members

Form 990, Part VI, Section A, Line 7A

Wef officers are selected by a nominating committee and recommended to the house of delegates, which approves the officers by majority vote. Wef trustees as also nominated by a nominating committee to serve three-year terms and are confirmed by a majority vote of the board.

Form 990, Part VI, Section A, Line 7B

Any proposed changes to the wef articles of incorporation or constitution and bylaws must be recommended by the board of trustees but must also be ratified by a quorum of voting members.

Form 990, Part VI, Section B, Line 11

The form 990 is drafted by wef's outside audit firm with information and input from wef's executive director and chief financial officer. The draft 990 is reviewed by wef's treasurer, executive director and chief financial officer for accuracy. Once this team has approved the draft 990, it is filed with the irs. The form 990 is them posted to the board of trustees' website for their review and reference.

Form 990, Part VI, Section B, Line 12C

Each new board trustee is oriented on the wef conflict of interest policy. Every trustee signs a statement annually acknowledging the policy. At the beginning of every board meeting, the board members are reminded of their responsibility to acknowledge conflicts of interest when the agenda is being reviewed. Each member of the board of trustees is required to disclose "other interests", as defined in the policy, annually and more frequently if other interests arise. The board or delegated representatives of the board must decide what, if any, corrective measures to take in response to disclosures of other interests.

Form 990, Part VI, Section B, Line 15

Wef participates in several salary surveys in the washington, dc area. Surveys and data are received and reviewed to inform a salary structure and to make compensation recommendations. The executive director's compensation is reviewed by the board of trustees. Data for wef key employees are reviewed by the executive director, human resources director and leadership staff.

Form 990, Part VI, Section C, Line 19

Wef's financial information is available on the 990 and posted on the internet through information sources such as guidestar. Wef's policy also makes copies of wef's documents available to direct requests made to wef at its office. Wef's constitution and bylaws are printed annually as a "board resource guide and are available to the public on wef's website. Wef views these as public documents and will provide them to any interested party who seeks them. There have been very few, if any, requests.

Part IV, Question 12 and Part XII, Question 2B

The organization's financial statements are audited annually in accordance with generally accepted auditing standards as part of a consolidated group. Since the organization owns 100% of a for-profit foreign subsidiary, the organization is required under generally accepted accounting principles to issue consolidated financial statements. Therefore stand-alone audited financial statements were not issued for the organization as the parent company.
