Form 990, Page 6, Part VI, Line 12C

The iron workers district council of mid-atlantic states conflict of interest policy applies to an officer, employee, or member of a committee who are deemed an interested person. An interested person with a financial interest, or who thinks that he or she is in circumstances that might lead to a conflict of interest, must disclose the interest or circumstances immediately to the executive board (or a conflict of interest committee appointed by the executive board (committee)). In the event immediate disclosure is not possible, then disclosure must be done annually. After a disclosure of a financial interest or other potential conflict of interest, the executive board or committee shall discuss all material facts with the interested person. The interested person shall have a reasonable opportunity to make a presentation to the executive board or committee. After discussion, the interested person will leave the meeting while the executive board or committee determines whether a conflict of interest exists. The fact that an interested person has a financial interest does not necessarily mean that there is a conflict of interest. The executive board or committee makes that determination taking into consideration all of the facts and circumstances. If the executive board or committee determines that a conflict of interest exists, it will, by vote of its disinterested members, determine whether the transaction or arrangement is in the district councils' best interest and whether the transaction is fair and reasonable to the district council. The minutes of the meeting of the executive board or committee will reflect the disclosure of the financial interest or other potential conflict, the nature of the interest, and the executive board or committee's determination of whether a conflict of interst existed.
