Governance Explanations

Form 990, Page 6, Part VI, Line 3

Nadl contracts with a professional management company. This company, partners in association management, provides services including (but not limited to) executive and administrative staffing, office space and equipment. The management company is directly accountable to the nadl board of directors who closely monitors the financials and administrative programs of the association.

Form 990, Page 6, Part VI, Line 6

A. Laboratory member. Any dental laboratory is entitled to receive the privileges and services of the association as a laboratory member. Laboratory members shall pay annual dues at a level determined by the board of directors. A dental laboratory, as referred to in these bylaws, shall be any establishment engaged in the fabrication or manufacture, processing, or repair of dental and oral prosthetic appliances, providing services to any licensed dentist, dental clinic, or other dental laboratory as herein described (provided that it doesn't solely service dental laboratories). Laboratory member is defined as one physical location; however, the board may set dues through policy for an organizational membership that includes multiple laboratory locations owned and operated by a corporate entity. Each laboratory member shall designate at least one (1), but not more than two (2) representatives to the association. The designated representatives shall be owners or employees with the authority to speak for the member on all association matters. Designated representatives may be elected to national office and may serve on committees; however, two representatives of the same dental laboratory, whether or not they are in one or more locations, may not serve simultaneously as officers on the board of directors. B. Section member. Dental technology educators, schools of dental technology accredited by the commission on dental accreditation, other educational institutions, manufacturers and suppliers to the dental laboratory industry, dental technicians and laboratory support personnel and components may become section members of the association. Section members may serve on committees but shall not be entitled to vote or hold office, except as provided in these bylaws. Section members shall pay dues at a level determined by the board of directors. Each section member shall designate at least one (1), but no more than two (2), representative(s) to the association. Section members shall be assigned to the following "sections": component section - state or regional dental laboratory associations, dental technology study clubs, or any other consolidated group with a specific purpose that embraces the vision and mission of the association shall be eligible for membership under this section. Manufacturer/supplier section - manufacturers and suppliers to the dental laboratory industry and those offering related products and services whether located within the united states and its territories or in foreign countries may become members of this section. If a company as part of its business model, provides ancillary services similar to a commercial dental laboratory but only provides such services to other dental laboratories, then it qualifies for membership under this section. If a company that provides materials and/or equipment; or services, and also provides services similar to a commercial dental laboratory and sells such services direct to a licensed dentist(s) in substantially finished form then it qualifies for membership under the laboratory member category. Education section - accredited and non-accredited schools of dental technology and other educational institutions, whether located in the united states and its territories or in foreign countries, may become members under this section. Technician section - dental technicians and laboratory support personnel may become members of this section in their individual capacities. Dental laboratory owners are not eligible to hold technician memberships. Technician section members are not eligible to vote or serve on the board. C. Honorary member. Any individual who has made an outstanding contribution to the advancement of the commercial dental laboratory industry may become an honorary member of the association upon a majority vote of the board of directors. Nominations for honorary membership may be submitted by the board of directors, members or standing committees. Honorary members shall

Form 990, Page 6, Part VI, Line 7A

The organization's members, in good standing are entitled to a vote. The most common voting is to elect the directors at large of the association.

Form 990, Page 6, Part VI, Line 11B

The draft versions of the form 990 are shared with the board for review prior to being filed.

Form 990, Page 6, Part VI, Line 12C

All volunteers in a position of authority are covered under our policy. We provide annual training on this topic during our board orientation and review. The foundation of our policy is disclosure so that the full board can determine if a conflict exists. If the board determined that a conflict of interest did exist then that person would be asked to excuse him/herself from the decision making process.

Form 990, Page 6, Part VI, Line 15A

The organization does not have employees, but instead is managed by a professional management firm. However, the governing body is responsible for negotiating and entering into the management contract that covers compensation. This contract was renewed in december 2023 for a three-year term beginning january 1 2024.
