“The board of governors may establish and appoint members of an executive committee and other committees of the board consisting of three (3) or more governors by majority vote of the entire board. The executive committee shall consist of the chair, vice chair, treasurer, secretary, and the chair of the audit committee, plus up to three at-large members from the board of governors. These committees shall have such authority as the board by resolution shall provide; the executive committee shall have all the authority of the board, as delegated by the board of governors, except that no committee shall have authority as to the following matters: (a) the submission to members of any action requiring members' approval under the law. (b) the filling of vacancies in the board or in any committee. (c) the fixing of compensation of the governors for serving on the board or on any committee. (d) the amendment or repeal of the bylaws, or the adoption of new bylaws. (e) the amendment or repeal of any resolution of the board which by its terms, shall not be so amendable or repealable.”
“There are three classes of membership: individual members, organization members and governor members. The board of governors of the conference may determine, in its sole discretion, the form of proof of membership for its members. Membership is not transferable.”
“Only members in good standing are eligible to vote for the board of governors, the governing body of the conference.”
“Our controller reviews the numbers reported in the form 990 before providing to the chief operating officer to review the narrative pieces together. After both parties agree on the content, it's provided to the chief executive officer to review and approve, as well as sign the form.”
“Part vi, section b, line 12c the conflict of interest policy applies to elected and ex officio positions and staff. It is the responsibility of each covered person to understand the policy and disclose any potential conflicts that may arise. Elected and ex-officio leaders are to disclose any potential conflicts to the chairman. The staff reports any potential conflicts to the president and ceo. After disclosure, those leaders with conflicts would refrain from voting, or being present for a vote. In the event that an employee has a conflict of interest, the president and ceo is responsible for making sure the business is completed in the best interest of nhc without substantial involvement of the employee.”
“In 2017, an executive search firm was hired to manage the search process for a new president & ceo. The compensation was determined through discussion with the search committee with guidance from the search firm using comparable salary data. Executive compensation changes are approved by the board of governors. The process described here was last completed in 2024.”
“Anyone who contacts the conference may request a copy of the governing or financial documents. Contact information is available on the conference's website. The federal form 990 is available each year on the website www.guidestar.org for no charge.”
