“The voting members of the executive committee shall consist of the president, the first vice president and two additional members appointed by the president. The executive committee shall provide day-to-day policy guidance to the executive director within the framework of policies adopted by the board of directors and shall recommend policy revisions to the board of directors. The executive committee shall recommend the selection of the executive director and shall supervise the activities of the executive director. The executive committee shall also undertake such other actions and responsibilities and shall exercise such authority as delegated by the board of directors.”

“The association's members include the governmental agencies that are engaged in the regulation of utilities and carriers in the fifty states, the district of columbia, puerto rico and the virgin islands. Naruc's member agencies regulate the activities of telecommunications, engergy, and water utilities.”

“The members of the association elect the officers of the board of directors.”

“The members of the association must approve changes to the bylaws and the constitution.”

“The form 990 is prepared by an outside accounting firm and reviewed in detail by the chief financial officer and forwarded to the executive director and the audit committee for review prior to filing with the irs.”

“The board requires full disclosure of all actual and potential conflicts of interest. Each covered official shall disclose any and all facts that may be construed as a conflict of interest, both through an annual disclosure process and whenever such actual or potential conflict occurs. The board of directors will determine whether or not a conflict of interest exists, and whether or not such conflict materially and adversely affects the interests of naruc. A covered official whose potential conflict is under review may not debate, vote, or otherwise participate in such determination. If the board of directors determines that an actual or potential conflict of interest does exist, the board shall also determine an appropriate remedy.”

“Naruc staff compensation: the association uses various compensation surveys to determine staff salaries that are approved by the executive director. This process was most recently conducted in 2013. Naruc executive director compensation: the performance review of the executive director is also performed annually. The executive director works under a renewable three year employment agreement with the association. Using the naruc performance appraisal form as a guide, the naruc's board president and first vice president conduct the performance appraisal. The cfo performs periodic analysis to ensure that executive director's salary is comparable to market figures and shares that information with the board president and first vice president. This process was most recently completed in 2014.”

“The association makes its governing documents and financial statements available to the public upon request electronically or by mail. The association does not make its conflict of interest policy available to the public.”
