Governance Explanations

Form 990, Part VI, Section B, Line 11B

The following occurs prior to filing Form 990, including all supplemental forms and schedules, (collectively the Form) with the IRS. The CFO reviews the Form in its entirety. The Controller reviews the Form to reconcile amounts and numerical disclosures to the audited financial statements. The CFO reviews the Form, including significant highlights with the CEO. Prior to being filed, the complete Form is made available for review by the Board of Governors via email or at the meeting immediately preceeding the filing of the Form with the IRS. Upon completion of the aforementioned reviews, the CFO signs the Form and authorizes the Form for filing.

Form 990, Part VI, Section B, Line 12C

Any contract or other transaction between Charles E. Smith Life Communities, Hebrew Home of Greater Washington, Inc. or subsidiary entities and one or more of its directors/governors, officers, or employees, or between the organization and any other corporation, firm, association, or other entity in which one or more of the organization's directors/governors, officers, or employees are directors/governors, officers, employees, or have a substantial financial interest, shall be void, unless each of the following conditions are met: 1) The relevant and material facts of such officer, director/governor, or employee's interest in such contract or transaction are fully disclosed in good faith, and in advance, to the Board of Governors. 2) The interested director/governor, officer, or employee has, in the judgment of the Board, fully met the burden of proof that the contract or other transaction is fair and reasonable to Charles E. Smith Life Communities, Hebrew Home of Greater Washington, Inc. or subsidiary entities. Annually every member of the Board of Governors and of the Boards of subsidiary entities, along with management level staff are required to complete a conflict of interest statement.

The Board of Governors established the Executive Compensation Committee to set and monitor all executive compensation, including the pay of the President/CEO. The Executive Compensation Committee consists of the Board Chair, Immediate Past Chair, Chair Elect and one other member appointed by the Board Chair. To ensure market competitiveness, the Executive Compensation Committee periodically uses a national consultant specializing in compensation to review Charles E. Smith Life Communities Executive salaries/benefits package. Adjustments are made, if necessary, based on experience, tenure, qualifications, etc. Annual increases are given based on individual performance and organizational budget parameters.

Financial Statement Notes

Part III, Line 4: Description of organization'S collections and how it furthers its purpose.

The art collection consists of paintings and sculpture, as well as a Torah. The Torah is used for holiday and Shabbat services. Several pieces of art work are displayed in common areas for the residents and family members to enjoy. Other pieces have been collected, and may eventually be sent to auction and the proceeds will be used to further the mission of the Hebrew Home, which is to provide care for those in need.

Part IV, Line 1B: Why is organization an agent, trustee, custodian or other intermediary for contrib

Hebrew Home acts in an agency capacity regarding the holding of patient cash funds. At December 31, 2022 it was holding approximately $81,000 in patient funds, which have not been reflected in Form 990, Part X.

Part V, Line 4: Intended uses of the endowment fund.

The organization's endowment funds were established for a variety of purposes, the primary purpose being to help fund the cost of resident care. Funds are appropriated for expenditure by the organization in a manner consistent with the standard of prudence prescribed by the Maryland Uniform Prudent Management of Institutional Funds Act.

Part X : FIN48 Footnote

Income TaxesThe Companies have been recognized by the Internal Revenue Service (IRS) as not-for-profit, tax-exempt organizations as defined by 501(c)(3) of the Internal Revenue Code and are exempt from federal income taxes in accordance with the Income Taxes topic of FASB ASC 740-10. The Companies account for uncertainty in income taxes using a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Management determined there were no tax uncertainties that met the recognition threshold in 2022 or 2021. The Companies federal Exempt Organization Returns of Income Tax for the years prior to December 31, 2019 no longer remain subject to examination by the IRS.
