“The organization has entered into a management contract with smithbucklin. Under the terms of this contract, national lumber & building dealers association makes payments to smithbucklin which cover staff salaries and other overhead expenses. The fees incurred by national lumber during the fiscal year were 469,113 which were broken down as follows: administrative staff services - 141,370, management and headquarters - 146,700, financial management and accounting services - 38,000, convention and trade show services - 59,330 marketing and communication services - 2,554, and government relations - 81,159. Smithbucklin's performance under this agreement is monitored by the board of national lumber.”

Lumber dealers are members by virtue of being a member of their federated association.”

“The purpose of the conflict of interest policy is to protect the interests of national lumber & building material dealers association (nlbmda), when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of nlbmda or might result in a possible excess benefit transaction. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest as soon as it is known and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. The remaining board or committee members shall decide if a conflict of interest exists. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon.”
