In accordance with the council's board-approved resolution, the 2024 irs form 990 was reviewed by the acc board finance, audit, and membership committee. The board finance, audit, and membership committee was provided an electronic copy of the form 990 for review no less than 4 days prior to the filing deadline and any comments were resolved to effect a timely filing of the form 990. Also, the cfo, controller, and assistant controller thoroughly reviewed the completed form 990.

Form 990, Part VI, Section B, Line 12C

Each director, officer, and employee of acc is to annually submit a disclosure statement, provided by acc, listing all organizations with which he or she is "affiliated" (as defined in the conflict of-interest policy) describing the nature of the affiliation, and indicating whether he or she has or may have a conflict-of-interest involving any acc financial transaction. In the event there is a change in the information in the disclosure statement, the person submitting it is to promptly submit written notification of the change. The chairman of the board and the president and ceo shall be responsible for the administration of this policy. All disclosures required under this policy shall be provided to the acc president and ceo. Issues arising under this policy shall be referred initially to the president and ceo. Information disclosed under this policy will be held in confidence by the chairman of the board and the president and ceo and by those persons they authorize to receive it where the best interests of the association requires further disclosure. This review process will be reported annually to the board by the chairman. A director who has declared or has been found to have a conflict-of-interest in any proposed transaction or other matter is to refrain from participating in consideration of the proposed transaction or other matter including not voting on the matter in question, and if so requested by the chairman or any other director not being present at the time of the vote, with respect to restraint on participation by employees the president and ceo is to take such action as is necessary to ensure that the transaction or other matter is completed in the best interests of acc without the involvement of the person who has the conflict-of interest.

Form 990, Part VI, Section B, Line 15

The acc compensation committee is comprised of the acc officers. The compensation committee reviews the performance and sets the annual compensation of the acc president and ceo pursuant to agreed upon contractual terms. The compensation committee also reviews and approves the annual compensation as recommended by the president and ceo for covered individuals. Covered individuals consist of chief employed executives, officers, vice presidents and managing directors as appointed to the senior staff team by the president and ceo. In 2023, the compensation committee reviewed performance, awarded the bonus, and approved the 2024 base compensation for the president and ceo. For the remaining covered individuals, the president and ceo recommended bonuses and 2024 base salaries to the compensation committee using a comprehensive benchmark study that is performed on an annual basis. The recommendations of the president and ceo were then approved by the compensation committee at its november 2023 meeting.
