The TCA president, chair, vice-chair and immediate past chair shall regularly and consistently monitor and enforce compliance with the policy by reviewing annual conflict of interest statements, or revised updated statements, and by taking such other actions as are necessary for effective oversight. After disclosure of a financial interest and/or personal interest, and all material facts, and after any discussion with the person subject to the policy, a majority of the president, chair, vice-chair and immediate past chair of TCA, will, in their sole discretion, decide if a conflict of interest exists, and if so, to which matters of TCA, or its affiliates, the conflict relates. Any person subject to the policy deemed to have a conflict of interest shall be recused from involvement in any matters of TCA, or its affiliates, which relate to the person's financial interest and/or personal interest. Provided further that if the conflict of interest is deemed to be serious and it is determined that recusal is not adequate to effectively address the situation then (i) in the case of a person subject to the policy who is not an employee of TCA, the person may be required to resign their office or committee position with TCA, and (ii) in the case of an employee of TCA, the employee may be subject to discipline, up to and including termination of employment.”
