Governance Explanations

The organization has members. Individual membership shall include individuals, corporations, partnerships and associations within or without the area, which subscribe to and agree to support the objectives of the corporation.

Form 990, Part VI, Section A, Line 7A

Each member who has paid in full the most recent minimum annual contribution and is present at the annual meeting shall be entitled to vote to elect directors.

The governing board assigns the executive committee the responsibility of reviewing the form 990 before it is signed by the treasurer and mailed to the irs.

Form 990, Part VI, Section B, Line 12C

The organization requires annual updates and disclosures from its officers and directors to monitor and enforce its conflict of interest policy. All directors are required to sign annually and a copy is maintained by the office staff.

Form 990, Part VI, Section B, Line 15A

The president and the treasurer annually provides a performance review of the executive director and determines any adjustments in compensation. A salary survey produced by the maryland association of nonprofits (or other comparable and competent salary survey) is utilized as a benchmark to evaluate the range of compensation for the position. The president and the treasurer meet independent of the executive director to discuss performance relative to the position description. During these deliberations, they also consider input obtained from other board members and other individuals who interact with the representatives of the organization. The president and the treasurer consider the key issues that have surfaced during the year along with any specific studies or initiatives assigned/undertaken that year and evaluates performance on specific efforts as well as overall performance. The organization has no other paid officers or key employees. The last executive director compensation review was done in december 2022.

Earnings on endowment funds are to be used for the purpose of capital expenditures or studies with lasting impact. Vpc has a spending policy that no more than 3% of the value of the accumulated earnings on the endowment fund each year is transferred into the net assets without donor restrictions unless directed otherwise by the board of directors.

PART X, LINE 2:

Vpc believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements or that would have an effect on its tax-exempt status. There are no unrecognized tax benefits or liabilities that need to be recorded.
