Governance Explanations

Form 990, Part VI, Section B, Line 11

The form 990 was prepared by the outside accountants and reviewed by the president and the director of finance. After the form was approved by these persons, the form was emailed to all members of the board of trustees. They were given a one-week comment period, after which, the form was filed with the irs.

Form 990, Part VI, Section B, Line 12C

Each year, board members, officers, and key employees review the conflict of interest policy and complete a conflict of interest disclosure statement. Each new covered person must review a copy of the policy and is reminded of the obligation to conform to it. Each covered person must complete a conflict of interest information form identifying any relationships, positions, or circumstances in which the covered person is involved that could create a conflict of interest. If a board member has a conflict of interest on a matter before the board, the covered person discloses all relevant facts to the board, is not permitted to hear the board discussion regarding the matter except to disclose material facts, must not seek to influence board members regarding the matter, and is not permitted to vote on the matter. Board minutes for the meeting reflect the disclosure of the conflict of interest and the fact that the board member was not permitted to discuss or vote on the matter. The board member with a conflict of interest will not be counted as a member for the purposes of establishing a quorum of the board. If a board member is not certain whether or not a conflict of interest exists, then the board member must disclose all relevant facts to the board and the board makes a determination of whether or not a conflict exists.

Form 990, Part VI, Section B, Line 15A

The board of trustees performs an annual review of the compensation of the president, who serves as the chief executive officer. The president completes a self-evaluation and provides the results of a compilation of compensation information for other ceos of similar nonprofit organizations based on data from their form 990s. The compilation data is prepared by the institute's human resources staff. The board then meets in an executive session and votes (in a quorum with the president abstaining) on any adjustments to compensation for the president and makes formal notes of the board actions taken. A designated board member provides the director of finance and administration with the results of the meeting that includes the specific salary action to be taken. The last compensation review took place in may 2015.

Form 990, Part VI, Section C, Line 19

Any requests for the organization's governing documents, conflict of interest policies, and financial statements are reviewed by the president and director of finance and supplied to the requestor as appropriate.

FORM 990, PART VII, SECTION A:

Demetrios papademetriou, kathleen newland and michael fix receive compensation as employees and not in their capacity as board members.

IRS990/Desc0THE MIGRATION POLICY INSTITUTE PROVIDES PRAGMATIC RESPONSES TO THE CHALLENGES AND OPPORTUNITIES THAT LARGE-SCALE MIGRATION PRESENTS TO GOVERNMENTS, COMMUNITIES AND INSTITUTIONS WORLDWIDE. THE INSTITUTE'S PROGRAM OF RESEARCH AND POLICY DEVELOPMENT IS BUILT ON SOLID DATA, IMPARTIAL ANALYSIS, UNDERSTANDING OF POLITICAL PROCESSES AND THE ENGAGEMENT OF MULTIPLE STAKEHOLDERS-FROM POLICYMAKERS AND BUSINESS INTERESTS TO COMMUNITY LEADERS AND MIGRANT ORGANIZATIONS. MPI GENERATES, VETS, AND DISSEMINATES THOUGHTFUL PROPOSALS FOR ACTION RELATED TO U.S. IMMIGRATION POLICY, IMMIGRANT INTEGRATION POLICY, MIGRANTS, MIGRATION AND DEVELOPMENT, REFUGEE PROTECTION, AND MOBILITY AND SECURITY. THE INSTITUTE'S WORK IN NORTH AMERICA, EUROPE AND MANY DEVELOPING COUNTRIES ALLOWS NATIONAL POLICYMAKERS TO BENEFIT FROM INTERNATIONAL COMPARATIVE RESEARCH, AS MORE AND MORE COUNTRIES ACCUMULATE DATA AND EXPERIENCE THAT SHED LIGHT ON GLOBAL MIGRATION FORCES.
