“The 990 was prepared by outside accountants and provided to the Finance and Governance Committees. The return was then provided to the board before it was filed with the IRS.”

“Each board member is required to sign the conflict of interest policy statement annually. The Executive Director monitors the process and maintains all signed statements on file. In connection with any actual or possible conflict of interest, an interested person discloses existence of the financial interest and is given the opportunity to disclose all material facts to the board or executive committee. Any director recuses himself or herself at any time from involvement in any decision or discussion in which the director believes he or she has or may have a conflict of interest, without going through the process of determining whether a conflict of interest exists. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she leaves the board or executive committee meeting while determination of a conflict of interest is discussed and voted upon. The remaining board or executive committee members decide if a conflict of interest exists. If the board or executive committee has resonate cause to believe a member has failed to disclose actual or possible conflicts of interest, it informs the member of the basis of such belief and affords the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the board or executive committee determines the member has failed to disclose an actual or possible conflict of interest, it takes appropriate disciplinary and corrective action.”

“The procedure for approving compensation is that that board of directors delegates a committee called the "Approval Body", composed of individuals that have no conflict of interest with respect to the compensation arrangement. They are required to consider comparability data that may include a) expert compensation studies by independent fires, b) written job offers for positions at similar organizations, c) documented telephone calls about similar positions of both nonprofit and for-profit organizations and d) information obtained from the IRS Form 990 filings of similar organizations. The Approval Body must document its decision for the approval, how it was reached, and any actions taken. The last compensation review was done in December 2022.”
