“The form 990 was prepared by the outside accountants and reviewed by the marylandonline executive committee and the finance, audit, and budget committee prior to filing with the irs. Electronic copies of all annual tax forms are sent to the finance, audit, and budget committee and the marylandonline executive committee and made available to all board members upon request.”

“Each marylandonline (mol) board member is required to sign a "conflict of interest" statement which is retained by the executive director. Each new responsible person is also required to review a copy of this policy and to acknowledge in writing that he or she has done so. Each responsible person annually completes a disclosure form identifying any relationships, positions,or circumstances in which the responsible person is involved that he or she believes could contribute to a conflict of interest. Such relationships, positions, or circumstances might include service as a director of or consulant to a not-for-profit organization or ownership of a business that might provide goods or services to mol. Any such information regarding business interest of a responsible person or a family member is treated as confidental and is generally made available only to the chair, the executive director, and any committee appointed to address conflicts of interest, except to the extent additional disclosure is necessary in connection with the implementation of this policy. This policy is reviewed annually by each member of the board of directors. Any changes to the policy are communicated immediately to all responsible persons. In the event it is not entirely clear if a conflict of interest exists, the individual with the potential conflict discloses the circumstances to the chair or the chair's designee, who determines whether a conflict of interest exists that is subject to this policy.”

“The salary of the executive director for marylandonline is reviewed and approved anually by the board of directors. The compensation procedures includes use of comparable data and documentation. For other employees, mol uses several sources that provide salary ranges for maryland, washington, and the national average that aid in salary determinations. All salaries are submitted to the mol board for approval via annual budgets and board meeting motions.”

“The organization makes its governing documents, conflicts of interest policy and financial statements available to the public upon request on case-by-case basis.”
