“Mahpba is managed by the association management company of dlr management. Mahpba maintains its offices at dlr management's headquarters at 904 hanover street, suite 3, manchester, nh 03104. Mahpba and dlr management have a contract that defines the reponsibilities of the management firm. A management fee is negotiated that covers the cost of the mahpba executive director, support staff, office equipment and office space.”

“Mahpba's bylaws provide for seven classes of membership: (1) distributors, (2) retailers, (3) service, (4) associates, (5) manufacturers representatives, (6) non-profits, (7) manufacturers.”

“A nominating committee consisting of three members of the board of directors shall be appointed by the president of the association, subject to the approval of the board of directors, not less than 90 dyas before the annual meeting of the association. The nominating committee shall nominate candidates for election to the board and publish the list of nominees not less than 45 days prior to the annual meeting. Additional nominations for election to the board must be made by 5 or more voting members and be submitted in writing to the association not less than 30 days before the annual meeting. These nominations shall be included on the official ballot. Voting for director candidates shall be by return mail to the association.”

“Each member of each category except for the non-profit category shall be entitled to one vote on all matters brought before that category or before the entire association.”

“Copy of form 990 is sent to board members prior to april board meeting for review to be voted on at that meeting.”

“Organization receives annual certifications from all officers and directors regarding conflict of interest policies and procedures.”
