Henry kahn provides legal services to camden partners holdings llc and the funds camden partners holdings llc sponsors. Henry kahn is also an indirect investor in certain funds camden partners holdings llc sponsors. David warnock is a principal in camden partners holdings and these funds. Scott soffen works for american trading and production corporation ("atapco"), which is an investor in a number of the funds camden partner holdings llc sponsors. Atapco is also an investor in new horizons learning centers, towne park, and calvert education services alongside camden partners' funds. Scott soffen is a director of calvert education, where david warnock serves as chairman of the board.

Cfuf per its conflict of interest policy, has a process to control representation of cfuf staff on external committees and boards. Cfuf per its conflict of interest policy, requires partnering relationships to be researched and affiliation with staff members to be disclosed immediately so informed decisions can be made about entering into organizational partnerships. All partnership agreements must be approved by the president/ceo.

Per cfuf's compensation policy, market analysis is conducted comparing similar positions in similar nonprofits in order to determine fair market compensation. Annual reviews are completed which measure the productivity and performance achievements. All recommendations for salary increases are presented to board of directors and must be approved by board of directors through cfuf's organizational budget review process.

Cfuf polices and procedures manual is disseminated and reviewed with all employees during new hire orientation. Revisions to policies and procedures are discussed and disseminated during monthly staff meetings. Financial statements are disseminated to cfuf stakeholders, funders and supporters upon completion annually. Financial Statement Notes

PART X, LINE 2:

The center and the fund are not-for-profit organizations exempt from federal income taxes under section 501(c)(3) of the internal revenue code and is recognized as such by the internal revenue services. Bcpif and cde are limited liability corporations and pass through entities for income tax purposes and thus these entities do not pay income taxes but instead their profits are passed through to its owners to be taxed. The provisions included in accounting principles generally accepted in the united states of america provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribe a threshold of "more likely than not" for recognition of tax positions taken or expected to be taken in a tax return. The center performed an evaluation of uncertain tax positions as of december 31, 2024, and determined that there were no matters that would require recognition in the financial statements or, which may have any effect on its tax-exempt status. As of december 31, 2024, the statute of limitations for tax years 2021 through 2024 remains open with the u.s. Federal jurisdiction or the various states and local jurisdictions in which the center files tax returns. It is the center's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expense.
