The Foundation shall have members who shall oversee the Board of Directors and exercise such other duties as they shall determine from time to time, consistent with the Foundation's Certificate of Incorporation.

The number of Members shall initially be four, three of whom shall either be a member of the governing body or, or appointed by the governing body of Partners in health Foundation Trust. One member shall be appointed by Edward S Ross (referred to as the ESR Member), or by such person or persons to whom he shall delegate or assign, from time to time, the power to appoint the ESR Member.
