“In 2013 the foundation entered into a management agreement with clia. Under the terms of the agreement, clia staff manages the review of incoming grant requests, maintains the accounting records, and provides other administrative services, including office space, to the foundation in exchange for a $50,000 annual management fee. The amount is included in administration expenses on the statement of activities for each of the years ended december 31, 2014 and 2013.”

“The governing body acts on behalf of itself and therefore there are no other committees with such authority. If there were such committees with said authority, the meetings and actions undertaken by these communities would have been documented.”

“The foundation chairman and/or executive director provides notification or otherwise makes available to all board members a copy of the form 990 for review. The form 990 is reviewed by the board secretary-treasurer and submitted by the foundation chairman.”

“The foundation makes available to each board member the annual conflict of interest policy form filed at the foundation corporate office. A copy of each form is also provided to the foundation chairman. In addition, at each regularly scheduled board meeting the officers, directors or trustees and key employees discuss and disclose any conflict that may exist in regard to any grant recipient under consideration by the board. When an individual board member, officer or key employee discloses that a conflict on a proposed grantee exists, the board member refrains from voting on that grant recommendation. This same procedure is followed when the board of directors vote on grant recommendations by ballot or conference call.”

“The foundation does not have its own employees. The executive director and other independent contractors are contracted by the foundation. The terms of payment are determined by the board of directors.”

“The foundation makes its governing documents available upon request.”

“The foundation did not have any filings that require them to comply with backup withholding rules. It would have otherwise complied if it did.”
