Mission

The mission of the conference of state bank supervisors (csbs) is to support state regulators in advancing the system of state financial supervision by ensuring safety, soundness and consumer protection; promoting economic growth; and fostering innovative, responsive supervision.the state banking departments regulate various types of financial activity within their jurisdictions, including insured depository institutions such as banks, credit unions and thrifts, and nonbank financial services providers, such as mortgage lenders and mortgage brokers, consumer finance lenders, payday lenders, check cashers and money services businesses (msb).

The conference of state bank supervisors (csbs) is the professional organization of financial regulators from all 50 states, the district of columbia, guam, puerto rico, the u.s. Virgin islands. Csbs advocates for the dual banking system and provides states with critical infrastructure for fostering innovative, responsive supervision. Csbs, on behalf of state regulators, also operates the nationwide multistate licensing system & registry (nmls). States use the nmls to license and register financial service providers and its supervisory component, the state examination system (ses) to harmonize and automate supervisory processes, streamlining examinations and improving oversight of nonbank financial institutions.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall have all the powers of the board, except those enumerated below, and shall act in lieu of the board between scheduled board meetings. All actions taken by the executive committee shall be approved by the board at its next scheduled meeting. The executive committee is not empowered to approve salary changes or non-budgeted expenses above $5,000. The executive committee consists of the sitting officers and the immediate past chairperson.

Regular voting membership in the conference of state bank supervisors (csbs) is limited to the state officer having responsibility for the supervision of state-chartered banking institutions in each state, the district of columbia, guam, puerto rico, and the virgin islands, or a representative duly designated by such officer who is also an employee of the state banking department of that jurisdiction. Csbs' other classes of membership, which include state-chartered banking institutions, state bankers' associations, and associates, do not have an official vote in any meeting of csbs and are not eligible to hold an elected office in csbs.

The officers of the conference of state bank supervisors (csbs) board of directors, which include the chairman, chairman-elect, vice chairman, secretary, and treasurer, are elected by the regular voting membership at the annual meeting of the conference. Additionally, the regular members are divided into five geographical districts, and they elect a district chairman and a district vice chairman from the regular membership in each respective district to represent the district on the csbs board.

Proposals for the amendment or repeal of the bylaws may be made by any ten regular members of conference of state bank supervisors by submitting a written request specifying the changes proposed to the chairman of the board of directors. All such proposals would then be considered by the membership at an annual or special meeting of the regular members, and the bylaws could be amended or repealed by a two-thirds vote of the regular members or duly designated representatives enrolled as attending the meeting.

A revised conflict of interest policy was adopted in december 2023 covering conference of state bank supervisors (csbs) and its affiliated organizations. As part of the policy, each year all csbs employees, members of the board of directors, and members of committees with governing board delegated powers are required to sign a statement that they have read and understand the policy, that they agree to comply with the policy and disclose any potential conflicts of interest. Each form is reviewed by the csbs general counsel to determine if any financial interests are potential conflicts of interest. Potential conflicts for csbs employees are reviewed by the chief executive officer and if the potential conflict is greater than $5,000, the csbs audit committee will also be consulted. Each potential conflict related to a member of the board of directors or committee with governing board delegated powers will be submitted to and reviewed by the chairman of the board (or in the case where the conflict involves the chairman of the board, the vice chairman) of the respective organization, the chief executive officer, and the president of the respective organization or affiliate (if different).

Form 990, Part VI, Section B, Line 15

Conference of state bank supervisors (csbs) has a formal policy stating that the process for determining the compensation of its officers and key employees shall include (1) review and approval by the finance, compensation, and benefits committee of csbs, (2) use of data as to comparable compensation, and (3) contemporaneous documentation and recordkeeping. The finance, compensation and benefits committee of the csbs board of directors has been established in the bylaws as a standing committee, which defines that the committee is responsible for reviewing the annual budget and establishing the investment and general compensation and benefits policies for recommendation to the board of directors for approval. Members of the executive committee conduct an annual performance review of the president. The finance, compensation, and benefits committee completed their last review in july 2020. The chief executive officer's contract (including compensation) was voted and approved by the full board of directors in november 2023.

We are an association of state banking officials and reimburse those officials from time to time for travel expenses related to conduct of required duties of the organization.

Financial Statement Notes

PART IV, LINE 1B:

We are a temporary custodian of funds collected from mortgage licensees who use nmls. These funds are not recorded on our balance sheet. We receive the funds in a banking account. We then remit the collected funds the same day they are received to the appropriate state agencies.

PART IV, LINE 2B:

From time to time, in the normal course of transactions with states, conference of state bank supervisors (csbs) holds amounts on account for individual states. At the direction of individual states, csbs holds these funds for future use such as training or educational programs sponsored by csbs, including cosponsored day with the commissioner projects in various individual states. The balance of these accounts at december 31, 2024 and 2023, was $90,668 and $87,186, respectively. As a result of the national mortgage settlement in 2012, $65,000,000 was distributed to csbs, of which, $16,000,000 was granted directly to csbs for creating a state regulatory fund. The remaining $49,000,000 was to be distributed to the 49 states which were a party to the settlement with csbs acting as the escrow agent. Since 2012 csbs has distributed the funds to the states as directed by the states. As of december 31, 2024 and 2023, csbs held $1,475,466 and $1,488,973, respectively. During 2020, $414,135 was distributed to csbs for the ameriquest settlement fund. The fund is intended to be distributed to the 50 states and the district of columbia which were a party to the settlement with csbs acting as the escrow agent. Csbs will distribute the funds to the states as directed by the states subject to approval by a special committee independent of csbs. As of both december 31, 2024 and 2023, csbs held $366,471 and $395,066 in the ameriquest settlement fund.

PART X, LINE 2:

Conference of state bank supervisors (csbs) and the csbs education foundation, a related tax exempt organization, are both exempt from the payment of income taxes on their exempt activities under section 501(c)(3) of the internal revenue code (irc) and are classified as other than a private foundation within the meaning of section 509(a)(2) and section 509(a)(3) of the irc, respectively. Srr has been ruled by the internal revenue service to be a single-member domestic limited liability company and is therefore disregarded as a separate entity for income tax purposes. The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, csbs may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of csbs and various positions related to the potential sources of unrelated business income tax (ubit). There were no unrecognized tax benefits identified or recorded as liabilities for the reporting periods included in these consolidated financial statements.

CONGRESS RECOGNIZED THE VALUE OF THE NEW SYSTEM AND THAT JULY CODIFIED NMLS IN THE SECURE AND FAIR ENFORCEMENT FOR MORTGAGE LICENSING ACT OF 2008. KNOWN AS THE "SAFE ACT," THE LAW WAS ENACTED TO ENHANCE CONSUMER PROTECTION AND REDUCE FRAUD THROUGH REQUIRED MINIMUM STANDARDS FOR THE LICENSING AND REGISTRATION OF STATE-LICENSED MORTGAGE LOAN ORIGINATORS (MLOS). THE LAW ALSO CALLS ON STATES TO IMPLEMENT AND ENFORCE THESE STANDARDS, REQUIRING MLOS TO MEET PRE-LICENSURE AND ANNUAL CONTINUING EDUCATION REQUIREMENTS.STATE-LICENSED FINANCIAL SERVICES COMPANIES AND MLOS MUST MAINTAIN AN ACTIVE LICENSE THROUGH NMLS, WHILE FEDERALLY REGULATED DEPOSITORY INSTITUTIONS (E.G., BANKS AND CREDIT UNIONS) AND THE MLOS THEY EMPLOY MUST MAINTAIN AN ACTIVE REGISTRATION. CONGRESS MANDATES THAT STATE LICENSEES AND FEDERAL REGISTRANTS MUST RENEW THEIR MORTGAGE STATE LICENSE AND FEDERAL REGISTRATION, RESPECTIVELY, ON AN ANNUAL BASIS.IN 2024, MORE THAN 550,000 INDIVIDUALS WERE LICENSED OR REGISTERED THROUGH NMLS, MORE THAN 34,000 COMPANIES HELD A STATE LICENSE, AND ANOTHER 8,000 COMPANIES HELD A FEDERAL REGISTRATION. WHILE ALL REGISTRATIONS ARE FROM THE MORTGAGE INDUSTRY, THE LICENSES ARE HELD BY FIRMS ENGAGED IN ANY OF THE 70-PLUS NONBANK FINANCIAL ACTIVITIES FOR WHICH STATES REQUIRE LICENSING, INCLUDING MORTGAGE, MORTGAGE SERVICING, MONEY SERVICES BUSINESSES, CONSUMER FINANCE AND DEBT COLLECTION. RECOGNIZING TECHNOLOGICAL ADVANCES OVER THE PAST 16 YEARS, CSBS HAS TAKEN STEPS TO UPDATE THE NMLS PLATFORM. THIS YEAR, WE UPGRADED THE LOGIN PROCESS, ALLOWING USERS TO RECOVER THEIR PASSWORD WITHOUT CONTACTING THE CALL CENTER AND TO CONSOLIDATE MULTIPLE NMLS ACCOUNTS USING ONLY ONE LOGIN.
