“The form 990 questionnaire from the independent tax consulting firm is filled out by the president, the chief operating officer and the controller of the corporation. When the completed form 990 is received from the independent tax consulting firm, it is reviewed by all three of the officers of the corporation during a meeting run by the president. Any discrepancies are reviewed and addressed with the independent tax consultant. The final form 990 is sent to all board members before submission to the internal revenue service.”
“The conflict of interest policy is reviewed at the annual meeting of the board of directors by the chairman of the board of directors. Each member is asked if any new conflict of interests have occurred. If a potential conflict is uncovered, a solution is proposed and voted on by members of the board of directors and recorded in the official minutes. Each of these issues is reviewed at the annual meeting of the board of directors.”
“Data on comparable salaries within profit and nonprofit entities is collected from various sources throughout the year, including surveys from appropriate trade journals or magazines, personal contact with human resource departments and online databases. This data is brought to a meeting of the board of directors for review and discussion in correlation with the corporation's revenues and expenses. The ceo suggests an increase in salary for each officer, and an officer or independent board member suggests an increase in salary for the ceo. After discussion and comments, the increases for each officer are voted upon for approval. The process was last conducted in january 2025.”
“Iivs makes its governing documents, conflict of interest policy and financial statements available to the public in two ways: 1) requests can be made by phone or email; 2) documents are available for inspection and copying on-site at iivs' facilities. “The institute is generally exempt from federal income taxes under the provisions of section 501(c)(3) of the internal revenue code and is not considered to be a private foundation. Under current internal revenue service regulations, revenue from certain unrelated business activities is subject to unrelated business income tax. The institute had no net income tax expense on unrelated business income for the year ended december 31, 2024. Accordingly, no provision for income taxes has been made on the accompanying financial statements. Management evaluated the institute's tax positions and concluded that the institute had taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance.”

ADVANCEMENTS ARE SHARED WITH THE SCIENTIFIC COMMUNITY THROUGH PRESENTATIONS AND PUBLICATIONS SO THAT OTHER INDUSTRIES AND REGULATORY SCIENTISTS CAN BENEFIT. IIVS HAS DEVELOPED AND PROMOTED THE USE OF HUMAN PRECISION CUT LUNG SLICES (HPCLS FOR POTENTIAL REGULATORY APPLICATION AS AN ALTERNATIVE TO USING ANIMALS FOR INHALATION AND RESPIRATORY ENDPOINTS. BASED UPON OUR SUCCESSFUL USE OF HPCLS IN IN-HOUSE STUDIES, STAKEHOLDERS HAVE INQUIRED WHETHER THEY COULD PROCURE THESE HPCLS TISSUES FOR USE WITHIN THEIR OWN LABORATORIES. IIVS SCIENTISTS WERE INVITED TO PARTICIPATE IN EXPERT PANELS CONVENED BY THE ORGANIZATION FOR ECONOMIC COOPERATION AND DEVELOPMENT (OECD) WHICH HARMONIZES IN VITRO TESTING APPROACHES FOR THE WORLDWIDE SCIENTIFIC COMMUNITY. THESE PANELS DISCUSSED NEW METHODS FOR GENETIC TOXICOLOGY, SKIN SENSITIZATION, EYE IRRITATION AND SKIN CORROSION. IIVS IS LEADING EFFORTS WITH INDUSTRY CONSORTIA AND 2 DIVISIONS OF THE US FEDERAL DRUG ADMINISTRATION TO APPLY NON-ANIMAL METHODS FOR SPECIFIC ENDPOINTS. IIVS IS ALSO INVOLVED IN EFFORTS TO SUPPORT THE US ENVIRONMENTAL PROTECTION AGENCY'S GOAL TO REDUCE RELIANCE ON ANIMAL MODELS.
