Governance Explanations

Form 990, Part VI, Section B, Line 11B

The board of directors receives a final copy of the 990 prior to filing the return.

Form 990, Part VI, Section B, Line 12C

All board members are required to sign the nesst conflict of interest policy on an annual basis.

Form 990, Part VI, Section B, Line 15

The ceos' salaries are reviewed every year by the executive committee (chair, secretary, treasurer) by researching and reviewing external benchmarking data that documents compensation levels and benefits for similarly qualified individuals in comparable positions. The data may be obtained by irs form 990 filings of similar organizations, documented telephone calls to other nonprofit oganizations, or studies by independent sources. A recommendation is then made to the full board to approve ceos' compensation and the approval and details of how the board reached its decision is documented in the minutes. Independence is achieved as the chair of the board of directors is a volunteer, is not compensated by nesst, inc., and operates independently without undue influence from either ceo. The executive committee members are not employees and have no relatives who work for nesst, inc. Which could present a conflict of interest.

Form 990, Part VI, Section C, Line 19

The organization's governing documents and conflict of interest policy are available to the public upon written request. The organizations's financial statements are available on their website.
