The cfo and ceo review the form 990 then it is taken to the board finance committee for review and approval. The board finance committee recomends approval to the entire board.

Form 990, Part VI, Section B, Line 12C

The organization maintains a formal conflict of interest policy. A copy of this policy is provided to all employees and board members in their employee handbook. Members of the executive team, administration, board members and staff, complete a disclosure questionnaire each fiscal year to identify any potential conflicts of interest. The secretary of the board of directors maintains copies of all disclosure statements. Employees are encouraged to discuss any potential conflicts of interest that may arise with their manager. Employees are also encouraged to immediately report to their manager or member of the executive team, any potential or actual conflicts of interest they may become aware of. Where an actual or potential conflict of interest arises, the ceo is responsible for reviewing the matter and may take appropriate action as necessary to protect the interests of the organization. The ceo shall report to the chairman of the board the results of any review and action taken. The chairman shall determine if any further board review or action is required.

Form 990, Part VI, Section B, Line 15

The organization's policy is to perform an executive salary survey and review every two years. Salary information is used from both the association trend compensation report (an analysis of maryland area non-profits) and the professionals for non-profits (an annual survey for dc non-profits) as a guideline for market competitiveness. The organizations job responsibilities and compensation are compared to similar survey positions to competitiveness of compensation. All salary recommendations are referred to the board for their review, evaluation and final determination.

Asc 740, income taxes, prescribes a recognition threshold and a measurement attribute for the financial statement recognition and measurement of tax positions taken or expected to be taken in a tax return, as well as guidance on de-recognition, classification, interest and penalties and financial statement reporting disclosures. For these benefits to be recognized, a tax position must be more-likely-than not to be sustained upon examination by taxing authorities. The amount recognized is measured as the largest amount of benefit that is greater than fifty percent likely of being realized upon ultimate settlement. The organization recognizes interest and penalties accrued on any unrecognized tax exposures as a component of income tax expense.
