The Executive Committee would consist of the Chair, Vice Chairs, Treasurer, Secretary, Artistic Director and Executive Director plus, optionally, one or two 'at large members' from the Board; [Article V, Section (1), page 6] - The Artistic Director and Executive Director would be full voting members of both the Board and the Executive Committee except with respect to the employment terms of both of them; [Article V, Section (1), pages 6-7] - Confirms the Executive Committee's responsibility for governance of the corporation; Majority a quorum; Adds a paragraph on honorary Board memberships and donor societies; [Article V, Section (1), page 7] - Auditor to be approved by the Board on the recommendation of the Audit Committee; [Article V, Section (3), page 8]. Adds an optional Nominations Committee; [Article V, Sec. (4), page 8] Officers. A Chief Executive Officer would replace the office of President (now vacant) and (unless the Board decided otherwise) the Chair would also be the CEO; [Article VI, Sections (1) and (5), pages 9-10] - Updates the Treasurer's duties; [Article VI, Section (6), page 10]”
