Governance Explanations

Form 990, Part VI, Section A, line 6

There are two classes of members one class of voting members and one class of nonvoting members of the organization. Membership is not transferable. All members, both voting and nonvoting, pay dues as provided in Section 2.13 of the bylaws. Voting members consist of those statewide domestic violence coalitions that (i) satisfy the eligibility criteria established by the board from time to time, and (ii) are in "good standing," as defined below, provided, however, that no members is eligible for election unless the statewide coalition has been found by the board to satisfy the eligibility criteria established by the board from time to time. No voting member represents more than one statewide coalition without the unanimous written consent of board of directors. Coalitions representing the District of Columbia, the commonwealth of Puerto Rico, and each of the several United States territories is eligible to join under the provisions of this part. Each voting member is represented by one person who has been designated by the member in writing to serve in this behalf. Allies Nonvoting members consist of the other national groups, the several Indian and Native Alaskan tribes, and other organizations, corporations, entities, individuals, or local programs that have been determined by the board to have met the standards of eligibility established by the board from time to time and are in good standing. Nonvoting members are referred to herein as "allies." Voting members and allies are collectively referred to herein as "members." Good standing "Good standing," as used herein, means that such member (i) has paid any dues established by the board in accordance with Section 2.13 hereof, and (ii) the board has not determined, in its sole and exclusive discretion, that said member has taken any actions inconsistent with the mission of NNEDV.

Form 990, Part VI, Section A, line 7A

As provided in the Articles of Incorporation, each voting member has one vote. Voting on all matters, including the election of directors, may be conducted in person, by telecopier, by mail, telegram, cablegram, electronic mail, or by any other means of transmission, in accordance with the provisions and procedures established from time to time by the board; provided, however, that the voting member states, or submits information from which it can be determined, that the method of voting chosen authorized by the voting member.

Form 990, Part VI, Section A, line 7B

As provided in the Articles of Incorporation, each voting member has one vote. Voting on all matters, including the election of directors, may be conducted in person, by telecopier, by mail, telegram, cablegram, electronic mail, or by any other means of transmission, in accordance with the provisions and procedures established from time to time by the board; provided, however, that the voting member states, or submits information from which it can be determined, that the method of voting chosen authorized by the voting member.

Form 990, Part VI, Section B, line 11B

Once the return is prepared, the return is reviewed by NNEDV's senior management. The final return is then sent to the board of directors prior to filing with the Internal Revenue Service.

Form 990, Part VI, Section B, line 12C

NNEDV requires all officers, board members, and staff to sign a separate agreement to avoid conflicts of interest and to immediately disclose any conflicts that arise. This disclosure can be made either verbally or in writing. For executive staff, the disclosure is made to the president, and for board members, the disclosure is made to the board chair. There is also non-executive staff that review the conflict of interest policy in the employee handbook, and sign off on all policies. The finance policies and procedures also have a detailed section about conflict of interest and procedures that should be followed if any conflict arises. This policy requires all staff to immediately disclose any potential conflict of interest. If a conflict of interest is determined, steps to address this are outlined in the policy.

Form 990, Part VI, Section B, line 15A

The president & CEO's salary is determined by the board of directors. Compensation is based on level of experience, performance, and research regarding the salary of CEOs at comparable national non-profits. The most recent review was conducted in March 2023, when the interim CEO was hired, and again in September 2023 when the next interim CEO was hired. When a permanent CEO is hired, the board of directors will review compensation again.

Form 990, Part VI, Section C, line 19

NNEDV makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Financial Statement Notes

Part IV, Line 2B:

The funds described above were collected through a partnership with the Allstate Foundation and paid out to local domestic violence organizations. These organizations are chosen by the Foundation and paid out by NNEDV. NNEDV also operates a microloans program to assist domestic violence survivors in re-establishing credit.

Part X, Line 2:

The Organization evaluates uncertainty in income tax positions based on a more-likely-than-not recognition standard. If that threshold is met, the tax position is then measured at the largest amount that is greater than 50% likely of being realized upon ultimate settlement. As of December 31, 2023, there are no accruals for uncertain tax positions. If applicable, the Organization records interest and penalties as a component of income tax expense. Tax years from 2020 through the current year remain open for examination by federal and state tax authorities.
