Governance Explanations

Form 990, Part VI, Section A, Line 4

In 2015, the foundation amended their bylaws to reflect updated policies for the number of the governing body's voting members.

Form 990, Part VI, Section B, Line 11

The process the foundation uses to review the federal form 990 is for the director of finance to work closely with raffa, p.c. To compile related data to complete a draft federal form 990 which is then reviewed and approved by the vice president of finance. The completed federal form 990 is then distributed to the entire board of directors before the federal form 990 is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The foundation shares employees with the food marketing institute (fmi) and therefore relies on fmi's conflict of interest policy and procedures to satisfy any obligations in this area. Fmi annually distributes a conflict of interest questionnaire to staff, directors and above. These questionnaires are reviewed by the counsel to determine whether any conflicts are present. If a staff member is found to have a conflict, the counsel is required to follow the protocol set forth in the employee handbook to quickly remedy any conflicts of interest that may be present.

Form 990, Part VI, Section C, Line 19

The foundation makes its governing documents, federal form 990, conflict of interest policy, and financial statements available to the public upon request.
