The organization does not have committees with authority to act on behalf of the governing body. If the board of directors ever creates any such committee, the organization's bylaws require it to contemporaneously document committee meetings held and to maintain such records, along with any written actions taken by such committees by unanimous consent, as part of the organization's permanent records.

Once completed by staff and external cpa firm, form 990 is circulated electronically to the entire board of directors for review and comment. The board's audit committee meets to formally review the return on behalf of the board prior to filing with the irs.

Upon election to the board of directors, each new board member provides a signed conflict of interest disclosure. Directors provide an updated disclosure annually. The audit committee of the board of directors is charged with ensuring that the conflict of interest policy is followed and questions officers and directors as appropriate to confirm compliance.

Chief executive - compensation is reviewed and determined annually by board of directors based on current market research and analysis. Other officers and key employees - the annual performance review rating along with internal and external equity analyses inform any salary adjustments. In addition, promotions may be given mid-year that may warrant a salary adjustment. All salary adjustments are vetted by the vice president of talent and the chief operating officer to ensure compliance and adherence to the organization's compensation philosophy. Chief operating officers' compensation is reviewed and approved by the chief executive officer.

IN FY19 STAND CONTINUED TO RUN THE MIDDLE SCHOOL KINDNESS CHALLENGE, REBRANDING IT AS TEACH KINDNESS AND DEVELOPING AN ELEMENTARY-AGE APPROACH FOR THE 2019-20 SCHOOL YEAR. TEACH KINDNESS IS A UNIQUE COLLABORATION AMONG LEADING EDUCATION ORGANIZATIONS, DISTINGUISHED TEACHERS, AND ACCLAIMED RESEARCHERS. IT PROVIDES ACCESS TO RESEARCH-BASED TOOLS AND RESOURCES, FREE OF CHARGE, TO THOSE WHO WANT TO INCORPORATE KINDNESS INTO THE SCHOOL DAY AND MAKE KINDNESS A PRACTICAL, COMMONPLACE SKILL. STAND IMPLEMENTED 2 CYCLES OF THE PROGRAM IN FALL 2018 AND SPRING 2019 WITH 111 SCHOOLS COMPLETING THE CHALLENGE ACROSS THE COUNTRY. 12,854 KINDNESS ACTIVITIES WERE TAUGHT IN PARTICIPATING SCHOOLS.
