The organization has members.

Following the changes in 2010 to the certificate of incorporation and the bylaws, the organziation now has members, comprised of the organizations which it supports, which are tax-exempt, accredited, dues-paying theological schools and other programs in ministry and theological studies within other institutions of higher education described in sections 509(a)(1) and 509(a)(2) of the code, which provide theological education or education for ministry.

The audit committee meets with the organization's director of operations, president, outsourced accounting service, and the auditor to review and discuss the 990, and then submits a recommendation to the board before it is submitted.

The organization's conflict of interest form is signed annually by all board members/officers and employees. All board members sign the conflict of interest statement annually. The executive committee as a part of its yearly meeting reviews both the completion of the statements as well as monitors compliance of the statement for each board member.

In an executive session at the meeting at which the final budget is adopted, the governing board, with no key staff personnel present, determines compensation by comparing similar positions at similar organizations. Minutes are kept with appropriate documentation.

WE PROVIDE INDIVIDUALIZED SUPPORT THROUGH RESOURCE CONSULTING. RESOURCE CONSULTING IS BASED ON A WELL-ESTABLISHED LEARNING MODEL OF INSTITUTIONAL CHANGE: SUSTAINED AND EFFECTIVE ORGANIZATIONAL LEARNING COMES WHEN AN INSTITUTION AUGMENTS ITS OWN ASSETS AND CREATIVITY WITH APPROPRIATE EXTERNAL RESOURCES. TWO INITIATIVES THAT FALL UNDER THIS PROGRAM ARE: 1. RESOURCE GRANTS - AN IN TRUST CENTER RESOURCE GRANT IS A DOLLAR-FOR-DOLLAR MATCHING GRANT OF UP TO $15,000 THAT IS INTENDED TO ADDRESS A PARTICULAR INNOVATIVE CHALLENGE OR OPPORTUNITY WITHIN AN INSTITUTION. THE IN TRUST CENTER HOPES THAT THROUGH A RESOURCE GRANT, A MEMBER SCHOOL WILL ENGAGE AN OUTSIDE RESOURCE THAT ALLOWS THEM TO SUPPORT THEIR WORK AND FURTHER THEIR SCHOOL'S MISSION. ALL MEMBER SCHOOLS OF THE IN TRUST CENTER ARE ELIGIBLE TO APPLY FOR A RESOURCE GRANT; HOWEVER, SCHOOLS MAY NOT APPLY FOR A GRANT THE SUBSEQUENT YEAR AFTER RECEIVING ONE. SCHOOLS MUST ALSO SHOW HOW THEY ARE PROVIDING MATCHING FUNDS.2. THE WISE STEWARDS INITIATIVE FOCUSES ON BUILDING BOARD CAPACITY FOR BETTER INSTITUTIONAL GOVERNANCE. MEMBERS SHALL BE THEOLOGICAL SCHOOLS, CONSORTIA, UNIVERSITIES, AND OTHER PROGRAMS IN MINISTRY AND THEOLOGICAL STUDIES WITHIN INSTITUTIONS OF HIGHER EDUCATION WHICH PAY THE MEMBERSHIP FEES ESTABLISHED BY THE BOARD. TO BE ELIGIBLE TO VOTE FOR DIRECTORS, A MEMBER INSTITUTION MUST: I. BE RECOGNIZED AS A TAX-EXEMPT CHARITABLE ORGANIZATION BY THE INTERNAL REVENUE SERVICE OF THE UNITED STATES OF AMERICA OR THE CANADA REVENUE AGENCY; II. HOLD MEMBERSHIP IN AN ACCREDITING ORGANIZATION THAT IS A MEMBER OF THE COUNCIL FOR HIGHER EDUCATION ACCREDITATION; AND III. HAVE PAID THE APPROPRIATE MEMBERSHIP FEE BY A DESIGNATED DATE. AN ORGANIZATION OR EDUCATIONAL INSTITITUION THAT IS NOT ELIGIBLE FOR MEMBERSHIP MAY BE GRANTED AFFILIATE STATUS AT THE SOLE DISCRETION OF THE PRESIDENT.
