A copy of form 990 is distributed to each board member for review and approval at the quarterly board meeting.

Form 990, Page 6, Part VI, Line 12C

The organization regularly monitors enforcement and compliance of the conflict of interest policy at least annually. At least annually, each board member submits a 'conflicts of interest disclosure form.' anytime there is a conflict of interest, the matter is submitted to the board and it is dicussed at the board meeting. The appropriate action is taken by the board and it becomes a matter of record, and is recorded in the minutes.

The compensation committee of the board of directors developed a three year contract with the president of the foundation. In this process comparative data and independent information was used. The full board voted on the president's contract and an annual review of compensation is conducted.

A review process is employed utilizing both qualitative and quanitative measures. The review is conducted by the compensation committee of the foundation. Full board approval is required for any contracts of any size and duration for past board members, officers or key employees.
