Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has three classes of members from the paper and forest product industries. The classes of members are company members, association members, associate members, and other classes and subclasses as the board of directors may create.

Form 990, Part VI, Section A, Line 7A

Each company member of the association in good standing is entitled to one (1) vote. Members may be represented at any meeting by proxy designated in writing. A majority vote of the members, a quorum being present in person or by proxy, is necessary for the adoption of any matter voted on at any meeting unless a greater proportion is required by law or in these bylaws. No proxy is valid more than three (3) months after its date of execution.

The form 990 was prepared by the outside accountants and reviewed by management. A final copy of the form 990 was provided to the board of directors prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Directors, officers and employees have an affirmative duty to identify potential conflicts of interest and act to avoid the conflict. Where a conflict of interest exists, the individual must actively address the conflict and deal with it in cooperation with the association. Among the alternatives, depending on the immediacy and seriousness of the conflict are: notification to the corporate secretary and pledge to be objective, recusal from a specific decision, and possibly even resignation.

The ceo's compensation is reviewed annually with data from outside independent consultants to comparable organizations and aproved by the compensation committee. Organization's officers compensation is benchmarked from data by outside independent consultants on a regular basis and approved by the compensation committee annually. Compensation reviews happen in january of each year.

PART V, LINE 4:

The board designated net assets include the following funds: reserve fund: the reserve fund was established to provide an operating reserve for the association and to fund the association's programs as approved by the board of directors. Special projects and assessments: the special projects and assessments fund includes several distinct and separate funds, which were established by the board of directors to track the activities of special projects and assessments, which were billed either to members or to strategic alliance organizations.

PART X, LINE 2:

Af&pa is exempt from federal income tax under section 501(a) of the internal revenue code ("irc"), as an organization described in irc section 501(c)(6). However, af&pa had no significant net unrelated business income for the year ended december 31, 2024. Accordingly, no provision for incomes taxes has been made in the accompanying consolidated financial statements.
