“The organization has members. Membership is open to any person who is a member in good standing with a union or any union member who has retired in good standing, and/or who believes in the principles and policies of the trade union movement and is willing to abide by the constitution and statement of purpose of this organization.”

“Delegates are elected or appointed by chapters and unions. Delegates attend the convention and elect representatives to sit on the board of directors. Apala's bylaws were amended by a majority vote in august 2021. The constitutional amendment now allows non-union members to have voting privileges and to run for a board seat.”

“Constitutional changes can only be made by delegates to the convention.”

“A copy of the organization's form 990 is reviewed by the finance committee chair, executive director and accounting staff. It is then sent to the entire board for review before it is signed by the executive director and filed with the irs.”

“All board members are required to sign the conflict of interest policy biennially, with a continuous responsibility to notify the board during their service of any conflict. For board members, the disclosure statements shall be provided to the president of the board. The president's disclosure statement shall be provided to the secretary of the board. Copies shall also be provided to the executive director of the organization. In the case of staff or volunteers with significant decision-making authority, the disclosure statements shall be provided to the executive director of the organization. The executive director's disclosure statement shall be provided to the president of the board. Whenever there is a reason to believe that an actual or potential conflict of interest exists between the asian pacific american labor alliance and an interested party, the board of directors shall determine the appropriate organizational response. When an actual or potential conflict exists between the interests of the apala and an interested party with respect to a specific proposed action or transaction, apala shall refrain from the proposed action or transaction until such time as the proposed action or transaction has been approved by the disinterested members of the board of directors of the organization.”

“The board of the organization decides the salary of the executive director. They use comparability data and the decision is documented in the organization's records. The last review was done in august of 2024.”

“The organization's governing documents and financial statements are made available to the public upon request.”
