The form 990 is provided to the ceo as well as the board of directors' finance committee for review. The form 990 is then provided to the full board of directors for its review and approval prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Hui's conflict of interest policy applies to members of the board of directors, advisory board of directors, staff, and certain volunteers that have been granted significant independent decision-making authority with respect to financial or other resources of the organization ("interested party"), who are required to annually affirm his/her understanding of the policy and disclose any actual or potential conflicts of interest (annually or as soon as it is known or resonably should have been known). The ceo and board of directors are responsible for determining whether a conflict exists, reviewing the matter and/or taking action. If the board determines that the interested party has failed to disclose an actual or possible conflict of interest, the board shall take appropriate disciplinary and corrective action. An interested party who has an actual or potential conflict of interest with respect to a proposed action or transaction of the organization shall not participate in any way in (including voting), or be present during, the deliberating and decision-making of the organization with respect to the action or transaction.

Form 990, Part VI, Section B, Line 15A

All housing unlimited inc. (hui) board of director members, including the board's personnel committee members, are independent of the chief executive officer (ceo). No board members are compensated by the filing organization. The hui ceo is compensated. The compensation for the ceo is reviewed and approved annually by the hui board of directors. The compensation of the ceo is based on the personnel committee recommendation to the board of directors. It requires board approval and is based upon data for comparable compensation in similar industries. The board secretary makes contemporaneous notes of the deliberations and these notes are codified in official board minutes, reviewed and formally approved by the board of directors at its next meeting.

Additional Explanations

Part III, Line 4A

Stable housing is vital to long term mental health stability and recovery, tenants and staff work together to foster habits and lifestyles that keep them housed and healthy. Team members visit tenants' homes every week to answer questions, provide requested resources, and to check the physical condition of properties to ensure that homes are wellmaintained. The housing unlimited tenants council fosters recovery, promotes cooperation, and independence, and provides tenants an opportunity for a collective voice. Tenants council officers receive leadership and skills training. In addition, housing unlimited, through paid internships, provides interested tenants with the opportunity to assist with property management, public education, and administrative tasks.

Financial Statement Notes

PART IV, LINE 2B:

The amount of 105,276 on the accompanying statement of financial position represents funds deposited in a savings account with a balance which is at least equal to the tenants' security deposits. Maryland rent escrow law requires the partnership to maintain a separate account for deposits paid by the tenants, and to credit the deposits with interest at 3% per year at six month intervals. Tenant security deposits are held in a federally insured bank.

PART V, LINE 4:

All or a portion of the endowment will be used to offset operating expenses of the organization's rental properties. Funds not yet used for operating expenses may be used as a secondary revolving loan fund.

PART X, LINE 2:

Housing unlimited is exempt from income taxes under section 501(c)3 of the internal revenue code and did not have any unrelated business income for the year ended september 30, 2024. Accordingly, no provision for income taxes has been included in the accompanying financial statements.
