Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall include the chapter's officers and such other persons as may be selected, from time to time, by the board of directors. The chairperson of this committee shall be the president of the chapter. In the absence of specific directions given by the board of directors, the executive committee shall have and exercise all of the powers and duties of the board in the management of the affairs of the chapter whenever the board is not in session, except to: elect officers, other than to appoint officers to fill vacancies; approve appointments of committee chairpersons; amend bylaws; and authorize monetary obligations in excess of an amount approved by the board. The executive committee shall keep regular minutes of its proceedings and shall report action taken by it to the board of directors at its next meeting following the taking of such action.

Form 990, Part VI, Section B, Line 11B

The 990 is reviewed by the executive director, vice president, executive committee and finance committee. A copy is them sent to the entire board for review. A reasonable deadline for responses is provided. Any questions, concerns, or issues that are presented within that time frame are addressed. Final approval is collectively reached by the reviewing parties.

Form 990, Part VI, Section B, Line 12C

The board of directors has a conflict of interest policy which is signed by the individual board members at the beginning of each fiscal year. All chapter employees, independent contractors, consultants and board members are subject to the conflict of interest policy. Upon their engagement, they are provided with the policy and asked to confirm that no conflict exists or to disclose any real or potential conflicts. The executive committee is responsible for monitoring and enforcing the compliance with the policy every year. At this time, all real or apparent conflicts that have been identified have been addressed by the board of directors with restrictions imposed, as appropriate, to protect the chapter's best interests.

Form 990, Part VI, Section B, Line 15

The executive director's compensation is determined by an independent board committee annually, using evaluations, competent salary surveys, and comparisons with other als association chapters. The committee's recommendation is then presented to the executive committee and to the full board for review and approval. The last review of the executive director's compensation using these comparable data took place in january of 2019 when the new executive director was hired.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy, and the financial statements are made available to the public upon request.

IRS990/Desc0RESEARCH - THE CHAPTER SUPPORTS THE ALS ASSOCIATION'S GLOBAL ALS RESEARCH PROGRAM TO FIND TREATMENTS AND A CURE FOR THIS FATAL DISEASE. THE AVERAGE LIFE EXPECTANCY OF SOMEONE WITH ALS IS ONLY 2-5 YEARS FROM DIAGNOSIS. ALSO, FOR UNKNOWN REASONS MILITARY VETERANS ARE NEARLY TWICE AS LIKELY TO BE DIAGNOSED WITH ALS. RESEARCH IS CRITICAL TO GAIN A BETTER UNDERSTANDING OF THE DISEASE AND CREATING BETTER TREATMENTS AND ULTIMATELY, A CURE FOR ALS. RECENT BREAKTHROUGHS MADE POSSIBLE BECAUSE OF THE CHAPTER SUPPORT INCLUDE: IDENTIFICATION OF THE SINGLE MOST COMMON KNOWN GENETIC ALS FACTOR, DEVELOPMENT OF A METHOD THAT CAN TEST TREATMENTS ON DIFFERENT FORMS OF ALS IN THE LAB AND THE FIRST FDA-APPROVED STEM CELL TRANSPLANT TRIAL IN ALS. THE PATIENT POPULATION IS GROWING RAPIDLY FROM 550 PLUS PATIENTS AND THEIR FAMILIES A FEW YEARS AGO TO NEARLY 900 CURRENTLY.
