To identify possible conflicts of interest all directors, officers and members of any committee exercising board-designated powers must disclose any financial interest in any entity with which the corporation or any legally related organization has or is negotiating a transaction or agreement, and all material facts related to that interest. Financial interests include any direct or indirect relationship through business, investment, or family, such as actual or potential ownership or investment interests or compensation arrangements. Directors must also disclose any fiduciary duty to a person or entity other than the corporation that might jeopardize the director's ability to exercise independent judgement and act in the best interests of the corporation. After discussion with the interested person, the remaining board members must decide if a conflict of interest exists. After exercising due diligence, the board must determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest. All officers, directors and members of the committees with board-delegated powers are required to receive a copy of the conflict of interest policy, as it appears in the bylaws. All officers, directors and members of committees with board-delegated powers must sign an annual statement declaring that the person received a copy of the policy, understands that the policy applies to all committees and sub-committees having board-delegated powers, and understands that the corporation is a charitable and education organization and that in order to maintain its tax exempt status, it must continuously engage primarily in activities which accomplish one or more of its tax exempt purposes.

The executive committee of the board of directors conducts a written review of performance, approves compensation of the president, and maintains a contemporaneous record of its decision. The full board is apprised of this review. In a year when the committee considers compensation increases, data from compensation surveys, reviews of other 990s and/or services of an independent consultants are utilized as appropriate as part of the review to help determine and confirm that the compensation is reasonable, and the process is documented. The president conducts annual review of performance and adjustments to compensation of other officers or key employees. This compensation adjustment is supported by a review performed by a third party compensation consultant.
